ACER DELIVERS FUTURE VISION OF INTEGRATED TECHNOLOGY TODAY

New Integrated System Unites Computing, Consumer Electronics Features Holds
Potential to Change the Way We Work, Communicate, Learn and Play

NEW YORK, NY, May 19, 1992 -- The Acer Group today introduced the Personal
Activity Center. The first product of its kind, the Personal Activity
Center unites computing and consumer electronics features into a single,
integrated system designed to support users' broad requirements for office
productivity, communication, education and entertainment.

The Personal Activity Center combines telephony, facsimile, stereo system
features and a CD-ROM drive and other multimedia functions along with a
host of pre-loaded office applications, on-line tutorials and reference
guides on CD ROM -- all in a single, thoroughly integrated system based on
a 386 SX personal computer.

Significant Advances in Convenience, Productivity

"Throughout the last decade, we have seen a stream of individual technology
developments designed to raise our quality of life and productivity," said
Ronald Chwang, president and COO of Acer America, a subsidiary of The Acer
Group. "But until now, society has not been able to effectively use these
technologies together. Today, with the Personal Activity Center, we have
stepped into a new era, one which provides the ultimate in convenience and
improvement of people's productivity, whether at work, home or school.

Personal Activity Center Features

The Personal Activity Center provides a digital answering machine, built-in
telephone, facsimile, data modem, CD-ROM drive, AM/FM receiver,
eight-channel mixer and alarm clock in one compact package. It also
includes a range of functions, all based on industry standards, that makes
using these integrated features easier than operating the individual
devices.

StartSmart. StartSmart automatically switches the Personal Activity Center
from "off' to "on" in order to receive a facsimile or a phone call. When
the call or fax transmission is complete, the system turns back off.
StartSmart also lets a person set the system's alarm clock so that it
turns on at a specific time.

SaveSmart. SaveSmart is The Acer Group's own back-up system. It captures
data when a person is using the Personal Activity Center and then stores
it for instant recall when the system is turned off. When it is turned
back on, the system returns exactly to the spot where the person left
off.

Full Software Library. The Personal Activity Center comes with a host of
pre-loaded software so people can take advantage of the system as soon as
they plug it in. Bundled software includes:

o MS-DOS 5.0
o Microsoft Windows 3.0 with Multimedia Extensions
o Microsoft Works for Windows, Multimedia Edition,
integrated office software and audio tutorial
o Microsoft Bookshelf (featuring American Heritage
Dictionary, Roget's Thesaurus, Hammond Atlas, Concise
Columbia Encyclopedia and Concise Columbia Dictionary
   of Quotations)
o PRODIGY on-line communications software
o Microsoft Entertainment Package, which includes a number
   of games
o Delrina WinFAX software for sending and receiving
   facsimiles

Intuitive User Interface. The user interface of the Personal Activity
Center makes extensive use of graphics to realistically depict features
that are familiar to most people. For example, the digital answering
machine that appears on the screen looks like many home answering
machines. Similarly, the music center closely resembles a stereo stack
with AM/FM receiver, CD player and eight-channel mixer. In all cases, the
buttons on the screen react the way they do on the actual device.

Telephone Answering Device (TAD). TAD is a built-in digital answering
machine that receives fax and voice messages. It can date and time
incoming messages as well as play back and erase messages just like any
other answering machine. It even provides people remote access from any
touch-tone phone and auto-dialing.

Fax and Data Modem. The built-in 2400bps modem is Hayes compatible. The
Group-3 compatible fax sends at 9600bps in transmission and 4800bps when
receiving.

Music Center. The Personal Activity Center's music center appears on the
screen as a typical stereo rack. It features an AM/FM tuner with a scan
feature plus 16 pre-set AM or FM stations, which are programmable by the
station's call letters. It also has a fully functional CD player. Finally,
an eight-channel mixer adjusts the tune and balance of the radio or the
system's CD ROM. The music center's mixer also can mix in sounds from the
telephone or an optional E-MU board, which enhances the stereo sound to
professional quality.

Fully Integrated Design. The Personal Activity Center includes several
builtin features, such as a speaker phone with condenser microphone as
well as the facsimile and data modem, typically not provided with other
PCs. The front panel has a stereo headphone output, microphone jack and
volume control buttons. The rear panel provides an RJ-11 standard phone
jack, coaxial antenna jack and MIDI/joystick port as well as a PC parallel
port and two serial ports. Unique to the Personal Activity Center, all
physical controls, such as buttons, are linked to the software that
controls an operation. For example, the volume control buttons on the
front panel are tied directly to the software control panel of the music
center.

Extensive On-line Help. By simply pointing and clicking on the screen,
people can find detailed information about all of the Personal Activity
Center's integrated hardware products and software packages.

Industry-Standard Solution

As important as the wealth of features offered by the Personal Activity
Center is the fact that it is entirely based on industry standards. These
include the MPC council's Level 1 multimedia definition, Windows and DOS,
Group-3 Fax and PC compatibility, to name a few. As a result, people can
take advantage of the new system with their existing software. Equally
important, when they send a fax or a file to anyone else, the person
receiving it requires no special proprietary hardware or software.

"The Personal Activity Center truly provides an ideal, standards-based
solution for people who want to maximize the benefits that can be derived
from today's computer and consumer electronics features -- and who want to
reduce the clutter and cost of buying all these devices separately," said
Fred Kiremidjian, vice president of research and development.

Pricing and Availability

The Personal Activity Center, shipping today, is based on a 20MHz i386 SX
PC with 4MB of RAM and a 130MB hard disk drive. It is being marketed
through two of The Acer Group's product lines:

o The AcerPAC 150 is in the Acer line of business computers. Targeted at
small, medium and large companies, it will be sold by Acer dealers and
VARs.

o The ACROS 380 is in the ACROS line of consumer PCs. Directed at home,
home office and small business customers, it will be sold by ACROS
consumer electronics, computer and business retail superstores.

Estimated street pricing for both the AcerPAC 150 and ACROS 380 models of
the Personal Activity Center is expected to range from $2,295 to $2,695.

First Step to Future Innovation

With all its features, the Personal Activity Center introduced today is
just the first step in providing effective integrated solutions. Later
this year, the company expects to introduce into the Acer line a second
system with greater processing power, more expandability and capabilities
designed to address the specific needs of business users.

Further out, with the availability of multimedia software based on the MPC
council standard definitions for Levels 2 and 3, the Personal Activity
Center will begin to incorporate still imaging and full motion video,
respectively. Other future enhancements the company anticipates include
moving to all-digital sound for higher quality and providing remote
control access of the system or of other devices using the Personal
Activity Center.

INDUSTRY-BREAKTHROUGH PERSONAL ACTIVITY CENTER TO BE MARKETED THROUGH ACER
AND ACROS PRODUCT LINES

Acer Targeted at Businesses, ACROS Aimed at Home and Education

NEW YORK, NY, May 19, 1992 -- The Acer Group today announced that its
Personal Activity Center, the first product to unite computing and
consumer electronics features into a single, integrated system, is being
marketed through its Acer and ACROS product line channels. By using a
two-channel approach, the company will effectively serve the varied needs
of the business customers and home consumers for whom the product is
designed.

The Personal Activity Center combines telephony, facsimile, stereo system
features, a CD-ROM drive and other multimedia functions along with a host
of preloaded office applications, on-line tutorials and reference guides
on CD ROM -- all in a single, thoroughly integrated system based on a 386
SX computer.

"Bringing the Personal Activity Center to market presents a wealth of
opportunities in improving the productivity and quality of life for our
business customers and home users alike," said Ronald Chwang, president
and COO of Acer America, a subsidiary of The Acer Group. "Because this is
the first product of its kind, it is more important than ever that we sell
it through the resellers who best understand the potential uses and needs
unique to each group of users."

AcerPAC 150/ACROS 380

The Personal Activity Center, available today, is being marketed as the
AcerPAC 150 in the company's Acer line of business computers and as the
ACROS 380 in its ACROS line of consumer PCs. AcerPAC will be sold through
Acer distributors, VARs, dealers and resellers such as ComputerLand, which
specialize in solutions for businesses, from small companies to Fortune
1000 corporations.

The ACROS 380 will be sold by its retail partners, which include Best Buy,
BizMart, Circuit City, ComputerLand Express, Staples and TOPS.
Additionally, American Express will market the ACROS 380 this summer with
a direct mail campaign directed at one-million of its credit card
customers in North America. The direct mail campaign is one of several
American Express has planned for ACROS products in 1992.

Business Users

The AcerPAC 150 version of Personal Activity Center is designed to provide
new levels of productivity in the business environment, whether it is in
small Mom and Pop operation or a large, multinational company.

Medium-to-Large Companies are expected to find the greatest uses for the
AcerPAC 150 in four key areas.

o Telemarketing, sales and marketing or other areas that require fast
turnaround times and where large amounts of time are spent on the
telephone and delivering information via facsimile. The AcerPAC 150's
built-in phone and facsimile allow managers or reps to respond with a fax
before they put down the receiver. While on the phone, they also can
access large databases on the AcerPAC 150's CD-ROM drive.

o Executives, who traditionally have had little time to make use of
personal computers, can take advantage of the friendly interface, on-line
help, fast access to information through multiple devices at their
fingertips -- plus extras such as an alarm to remind them about important
meetings. With the system's StartSmart feature, an AcerPAC 150 that has
been turned off will even automatically "wake-up" to sound the alarm or
accept a fax or phone message.

o Administrative assistants and other people who manage multiple tasks.
AcerPAC 150 simplifies their day by bringing the key tools they work with
-- phone, fax and office software -- together in one tightly integrated
unit. With the SaveSmart feature, people can turn off the machine knowing
that when they power it back up, the AcerPAC 150 will return exactly to
the place they were last.

o Human Resources and other departments responsible for employee
education. With its audio and graphics capabilities, AcerPAC 150 can be
used to create easy-to-use, self-training programs. After initial
training, employees can use the CD or hard-disk based programs to practice
what they learned.

Small businesses also can reap a number of benefits from AcerPAC 150,
which, aside from a printer, provides them all the basic tools for
managing a business including phone, facsimile, office applications and
reference guides on CD ROM -- without using a lot of precious desk space
and for a lot less than buying the individual devices. Firms operating
with few people can quickly ramp up and take advantage of the system by
using the on-line tutorials, minimizing the stress on resources. At the
same time, small businesses can use AcerPAC to provide more responsive
service to customers with facsimile features.

Vertical markets including retail, legal, medical and manufacturing are
ripe to take advantage of the integrated graphic, audio and facsimile
capabilities as well as the extensive data storage provided by CD ROM.
Value-added resellers (VARs) will play a key role in developing
applications for these specific markets that take advantage of the
AcerPAC's capabilities. To foster this development, The Acer Group will
introduce a seed program this summer for Acer VARs who specialize in
vertical market applications.

Home and Education

The ACROS 380 is designed to provide greater convenience and bring new
capabilities to home or home office users as well as educational
institutions and the students who attend them.

Home users, can take advantage of the integrated office applications
available with Microsoft Works for Windows, Multimedia Edition on the
ACROS 380 to manage the household or to telecommute, sending information
to the office via modem or fax. The same ACROS 380 can be used to play
games and the family's favorite CD or an AM/FM radio station.

The ACROS 380 provides students at home or away at school with reference
guides on CD-ROM disk, such as Microsoft Bookshelf, which includes the
American Heritage Dictionary, Roget's Thesaurus, Hammond Atlas and Concise
Columbia Dictionary, Concise Columbia Dictionary of Quotations. Students
can obtain and share information for research projects more easily via
fax. And despite limited dorm space, the ACROS 380 means students have a
CD player and radio. Finally, educational institutions can use the ACROS
380 to create on-line interactive tutorials aimed at tailoring education
to the students.

To support its ACROS retail partners, The Acer Group will run targeted
campaigns aimed at the home and education market. Two of these include a
back-to-school campaign, to begin in August, and a Christmas promotion.

Pricing and Availability

The AcerPAC 150 and ACROS 380 models of the Personal Activity Center are
shipping today. Both models, configured identically, are based on a 20MHz
i386 SX PC with 4MB of RAM and a 130 hard disk drive. Estimated street
pricing for both the Acer and ACROS lines is expected to range from $2,295
to $2,695.

The Acer Group

The Acer Group designs and manufactures three brands of computer systems,
which it sells through distinct channels. They include the Acer line of
business PCs and PC servers; Altos line of integrated UNIX systems for
enterprise-wide business solutions; and ACROS line of consumer-oriented
