U.S. ROBOTICS ACQUIRES FRANCE'S P.N.B., s.a.

SKOKIE, Ill., -- March 25, 1993 -- U.S. Robotics, Inc., (NASDAQ:USRX) today
announced that it has acquired 100 percent of the common stock of P.N.B.,
s.a. Based in Suresnes, France, P.N.B. is best known as a designer and
manufacturer of data communications products for IBM-compatible personal
computers and work stations and is a leading international supplier of
products for portable computers.

"The acquisition of P.N.B. significantly expands our presence in the French
market and enhances our already strong position throughout Europe," said
Casey Cowell, U.S. Robotics chairman, president and C.E.O. "With the
P.N.B. acquisition, we now have a greatly expanded customer base, which is
essential in cultivating new business ventures in France in particular and
Europe in general," he added.

"In aligning with U.S. Robotics, we have greatly increased financial,
technical, marketing and manufacturing resources to expand our business in
France and internationally," said Isabelle Pesquie Nikitine, P.N.B.
chairman.

Founded in 1985 by Isabelle Pesquie Nikitine and Nicolas Bocquet, P.N.B.
will become a wholly-owned subsidiary of Skokie, Ill.-based U.S. Robotics.
Ms. Nikitine remains with the company as chairman, and Mr. Bocquet will be
director of research and development.

"The addition of P.N.B. reinforces our decision to make France the center
of our European operations," said John McCartney, U.S. Robotics executive
vice president, international operations. "With P.N.B. headquartered near
Paris and U.S. Robotics s.a., in Lille, we feel that we have accomplished
that goal."

All three European subsidiaries, U.S. Robotics, Ltd. (U.K.), U.S. Robotics,
s.a. and now P.N.B., s.a., report to Mr. McCartney, who is headquartered
in Paris. The combined organizations will allow U.S. Robotics to
accelerate its already rapid growth in the European data communications
market, which has given the company a leading position in high-speed,
dial-up communications product sales throughout the Continent.

U.S. Robotics has a history of seeking alliances with local partners. In
1989 the company acquired Miracom Technology in the United Kingdom, which
today has the largest highspeed dial-up modem market share in that
country.

With its 1991 acquisition of Touchbase Systems, U.S. Robotics established a
strong base of operations in Lille, France supporting all European sales,
marketing and technical support efforts. The P.N.B. acquisition fortifies
U.S. Robotics sales and marketing operations in France and Europe and
positions the company as the premier supplier of data communications
products on the Continent.

The P.N.B. acquisition gives U.S. Robotics a strong European research and
