SYBASE ORGANIZES PRODUCT OPERATIONS INTO BUSINESS UNITS

Tools Technology Group and Server & Connectivity Group are Formed to
Maximize Opportunities in Different Product Areas

EMERYVILLE, CA -- October 12, 1992 -- Sybase, Inc. today announced the
formation of two business units that will be responsible for the product
portion of its business. Sybase is a leading vendor of client/server-based
relational database management systems (RDBMS) for on-line,
enterprise-wide applications.

The Tools Technology Group will be responsible for Sybase's application
development tools, and the Server & Connectivity Group will be responsible
for Sybase's database server and connectivity products. Each Group will
consist of product development, product management and finance functions,
and will have profitability objectives. Sybase's worldwide field
operations, corporate marketing, corporate finance and administration, and
corporate human resources will remain as centralized functions.

Mark Hoffman, Sybase president and CEO, commented, "Our company has come a
long way since the late 1980s when we were just a small start-up and our
success was predominantly due to our SYBASE SQL Server product. We are now
a major player in the software industry and have many strong product
families, each with unique market needs. This new structure reflects the

each Group to focus its energies on being responsive to their respective
markets, we will be able to maximize our opportunities in each of the
product areas."

New Business Units

Both of the newly formed Groups will consist of product development,
product management and finance functions. Previously, each of these
functions reported into a centralized functional department. In addition,
each Group will have profitability objectives. In the past, profitability
objectives were specified at the company level. 

The Tools Technology Group

The Tools Technology Group will be headed by Dr. Robert Epstein, the
company's co-founder and executive vice president. The Group will be
responsible for Sybase's application development tools, including the APT
Workbench and Gain products.

Sybase recently acquired Gain Technology of Palo Alto, California in a
merger transaction. Gain, the developer and marketer of multimedia
application development software, will operate as a wholly-owned
subsidiary and, except for its field personnel, will report directly into
Epstein's Group. Gain's field personnel will report into David
Peterschmidt, Sybase's general manager and vice president of worldwide
field operations. Tom Siebel, president of Gain, will be leaving the
company to pursue personal interests but will be available as a consultant
to assist in the transition.

Epstein remarked, "Over the next couple of years, we will be introducing a
lot of new products into the market place that will enable organizations
to take full advantage of client/server computing to meet their business
needs. This new business structure will allow us to deliver our new
technology to the market more effectively and efficiently." 

The Server & Connectivity Group

The Server & Connectivity Group will be directed by Mark Pine, vice
president, formerly Sybase's vice president of engineering. The Server &
Connectivity Group will be responsible for Sybase's database server
product line, most notably the SYBASE SQL Server product, and the
company's connectivity products, including the SYBASE Open Client and Open
Server interfaces. Both Epstein and Pine will continue to report directly
to Mark Hoffman, Sybase president and CEO.
