INTERGRAPH MOVES FURTHER TOWARD OPEN SYSTEMS

New Hardware, Software Strategies Announced at IGUG, Windows World

Intergraph's annual May meeting of graphic users from around the world is a
traditional forum for major announcements, and this year was no exception.
CEO Jim Meadlock and Software Systems Executive Vice President Tommy
Steele unveiled the company's new hardware and software strategies before
an audience of 3,500 Intergraph customers and employees.

The news centered on a development and marketing relationship with
Microsoft Corporation to have Intergraph's application software run on
Windows NT. Microsoft's new operating system. Intergraph also announced a
new line of entry level Intel-based workstations. The new machines give
technical users, for the first time, the flexibility to run both popular
business software programs and Intergraph's technical applications on the
same platform.

"We chose to be a leader by embracing Windows NT early on," said Steele.
"We believe it's the right decision for Intergraph, and it's the right
decision for you as Intergraph customers."

At the Windows World '93 trade show in Atlanta later in the month,
Intergraph underscored its commitment to Windows NT by showcasing more
than 30 of its technical applications on the new Microsoft operating
system. Show attendees could also see Windows NT running on Intergraph's
own Clipper RISC-based workstation, as well as the new Intel-based TD-1
machines.

PACT WITH SUN TOPS LIST OF ALLIANCES

Intergraph and Sun Microsystems Computer Corporation agreed to co-develop
future generations of SPARC microprocessors. Intergraph will also port
Microsoft Corporation's Windows NT operating system to the SPARC
architecture!

"This is the next logical step in our relationship with Sun," says
Intergraph CEO Meadlock. "It reinforces Intergraph's capability to provide
interoperability between Unix and Windows environments."

Meanwhile, Intergraph moved ahead with plans to develop a broader,
two-tiered distribution system by signing agreements with two major
distributors of technical and computer-aided design software -- The David
Group and Access Graphics. Both companies will begin by representing
Intergraph's basic CAD products. They will eventually graduate to the
entire hardware and software product line.

Intergraph will jointly develop an information management system with The
National Biodiversity Institute of Cost Rica (INBio) for an inventory of
Costa Rica's estimated 500,000 species of organisms. INBio will lend its
experience in conservation to the project, while Intergraph will
contribute $750,000 worth of hardware, software and services.

Intergraph and Synercom Technology, Inc. of Houston formed a strategic
business partnership to provide solutions to electric and gas utilities
around the world. The arrangement calls for the integration of WMIS,
Synercom's Work Management Information System, with Intergraph's FRAMME
facilities information management system.

SECOND QUARTER AT A GLANCE

Financials . . . A continuing product transition, coupled with weak markets
in Europe and the U.S., continued to take its toll, resulting in a net
loss of $18.6 million for the second quarter. Revenues were down 14
percent to $249 million, while income posted a net loss of 40 cents a
share, compared with net income of six cents a share a year earlier.

Products . . . Thirty technical software products covering all Intergraph
application areas running on Microsoft Windows NT were demonstrated at
Windows World '93. Also on display: MicroStation Version 5.0 . . . TD1
series of Intel-based workstations . . . Intel-based ISMP42 and 44
symmetric multiprocessor servers . . . ANA Tech Eagle Scanner models 3640
and 4080ET.

New Intergraph Electronics products: VeriBest Design System for ASIC/FPGA
design on Windows NT . . . V-12 release of electronics software package
with new features and better tools . . . EQUINOX IC Design System for
exchange of geometric and netlist data among all Intergraph integrated
circuit CAD products . . . Analog/Digital Link, a unique,
second-generation synchronization package that delivers a true
mixed-level, mixed-mode design environment.

MasterWorks, for architects and civil engineers, first AEC applications
available on Windows NT . . . ModelView 3.2, which can now directly read
AutoCAD .dwg files . . . I/MARC, new software product for finite element
analysis, jointly announced by Intergraph and MARC Analysis Research
Corporation.

MicroStation to be ported to IBM RISC System/6000 and DEC Alpha AXP PC
platforms, fourth quarter 1993.

Contracts . . . $6.7 million from Canadian Department of National Defense
for the department's first fully integrated digital map production system
. . . $1.1 million from Murray Ohio Manufacturing Company for an I/EMS
system . . . $400.000 from Panama Canal Commission for hardware and
software to widen the canal. Package includes Intergraph AEC, Mapping/GIS
and MicroStation software, as well as 6400 series workstations and
servers.
