ASG SIGNS LICENSING AGREEMENT WITH RESEARCH ENGINEERS, INC.

SAN FRANCISCO, CA.--October 19, 1992. ASG, the leading developer of
integrated software applications for architects, engineers, contractors,
and facility managers who use AutoCAD, has finalized an agreement with
Research Engineers, Inc. (REI) to integrate and market a series of
structural analysis and design products.

The two companies will integrate REI's AutoSTAAD (Structural Analysis And
Design) product, an AutoCAD-compatible modeling and analysis program, with
the ASG product line. The new product, tentatively called "ASG AutoSTAAD,"
will bring to ASG new structural modeling capabilities and will result in
the most comprehensive, completely integrated collection of structural
design, drafting, and analysis CAD applications on the market.

The agreement also allows ASG to license the next application in the STAAD
series, AutoSTAAD/MAX, a complete design and analysis program inside
AutoCAD which is currently under development at REI. "ASG AutoSTAAD/MAX"
will be fully integrated with ASG Core and the rest of the ASG product
line.

Also stated in the agreement is that ASG immediately will market REI's
stand-alone design and analysis program, STAAD m, the leading structural
analysis and design product on the market. The release of ASG's AutoSTAAD
product is expected by the end of 1992; ASG AutoSTAAD/MAX will be
completed in the first quarter of 1993.

This is a major agreement for ASG, according to company officials. Not

only does ASG offer its own growing line of integrated CAD applications for
the  AEC market, it makes its powerful integration technology available to
other leading companies and products, so the arena of integrated solutions
for the design and construction professions will continue to expand.

ASG is an original Autodesk Strategic Developer of software applications
for architects, engineers, contractors, and facility managers who use
AutoCAD. The product line now features 14 fully integrated architectural,
structural, electrical, HVAC, plumbing, piping, P&ID, civil engineering,
and modeling/rendering/animation software applications for the personal
computer. ASG's Vertex Division, the leading developer of electronic
information, applications, and software interfaces for building product
manufacturers, counts among its clients Du Pont, 3M, Pella Corp., Boise
Cascade Co., Allied-Signal, Inc., and Fry Reglet Corp. The Vertex Division
has developed interfaces with the software systems of Simpson Strong-Tie
Co., Inc., Timberline Software Corp., and other AEC industry leaders.
