Included is a sample copy of the gated license.  We don't actually
issue or sign the licenses ourselves -- that's done by the Office of
Sponsored Programs.  However, since they don't understand the issues
involved, we handle most of whatever negotiating is necessary (usually
none).  If you have problems with any of the clauses in the draft that

Just tell him we have an agreement in principle on the standard license.
He will need a name, title, and paper address of the person who will
sign for you.

If you have trouble with anything we'll work it out.  Cases where we
can't reach an agreement are quite rare.




		   Gateway Daemon Release 2
		    Redistribution License


Cornell University hereby provides COMPANY
(herein after referred to as "Licensee") with a non-exclusive,
royalty-free, worldwide license to use, reproduce, modify and
redistribute the software referred to as "Gateway Daemon, Release 2"
(GateD) with Licensee's products under the following conditions:

I.	All copyrights and restrictions in the GateD source files will
	be honored.

II.	The origin of this GateD software will be explicitly stated in
	Licensee's accompanying documentation as developed by Cornell
	University and its collaborators.

III.	Versions of GateD software or documentation that are altered or
	changed will be marked as such.

IV.	Licensee shall make reasonable efforts to provide Cornell
	University with all enhancements and modifications made by
	Licensee to GateD, for a period of three years from the date of
	execution of this License.  Cornell University shall have the
	right to redistribute the modifications and enhancements as part
	of GateD without accounting to Licensee.  Enhancements and
	Modifications shall be defined as follows:

	* Changes to GateD software or documentation.

	* Documentation directly related to Licensee's distribution of
	  GateD.

	* Licensee software modules that actively solicit
 	  services from GateD and accompanying user documentation.

V.	Cornell University does not commit to support GateD software.
	It is Cornell University's intention to provide support, but is
	under no obligation to do so.

VI.	Cornell University makes no representation on the suitability of
	GateD for any purpose.  GATED IS PROVIDED "AS IS" AND WITHOUT
	EXPRESS OR IMPLIED WARRANTIES, INCLUDING, WITHOUT LIMITATION,
	THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A
	PARTICULAR PURPOSE.

VII.	Licensee agrees to indemnify, defend and hold harmless Cornell
	University from any loss, claim, damage or liability of any
	kind, including attorney's fees and court costs, arising out of
	or in connection with any use of GateD under this License,
	except to the extent that such loss, claim, damage or liability
	arises from the negligence of the University.  Cornell
	University agrees to provide Licensee with prompt notification
	of any such claims and to cooperate fully in any investigation
	or litigation.

VIII. 	Each copy of GateD shall carry the copyright and credits legends
	included in the GateD source code.
