SYNOPSYS AND VIEWLOGIC TEAM TO PROVIDE ACCURATE, SECURE SIMULATION MODELS

IBM, Motorola Are First ASIC Vendors to Protect Intellectual Property Using
Verilog Model Compiler/Foundry Model Combination

BEAVERTON, ORE. AND FREMONT, CALIF. -- MAY 27, 1996 -- Synopsys' Logic
Modeling business unit and Viewlogic Systems Inc.'s High Level Design
Group today announced a partnership to significantly reduce the time
needed to create, distribute and support accurate, secure Verilog
simulation models.

Under the model development and distribution agreement, Synopsys and
Viewlogic have combined forces to enable early delivery of models of
standard ICs and ASIC cores directly to end users. Viewlogic will provide
its Verilog Model Compiler (VMC) to semiconductor vendors for creating
secure, accurate, high-performance models. Synopsys will add porting
technology, usability features, model distribution and support to end
users to complete the process.

The companies also announced that IBM's PowerPC Embedded VLSI Solutions
group and Motorola's Customizeable Standard Products group will be the
first semiconductor vendors to use the VMC and Foundry Model combination
to make models available to design engineers.

"With Viewlogic's VMC, highly accurate models can be created before silicon
is realized, allowing us to substantially improve timely availability of
much-needed simulation models," said David Hardman, general manager of
Synopsys' Logic Modeling business unit. "Unlike encryption methods, which
can be broken, Viewlogic's VMC provides semiconductor vendors with a
secure way to protect intellectual property while still providing end
users with the accurate models they need."

Under this arrangement, the models will be distributed and supported by
Synopsys, as part of its new Verilog Foundry Model Program.

"Synopsys' strong commitment to getting simulation models to designers is
critical to realizing the full potential of the ASIC and standard IC
markets," said David Burow, group vice president for Viewlogic's High
Level Design Group. "Synopsys' Verilog Foundry Model program provides
semiconductor vendors with an important path to get accurate models to
users without compromising intellectual property or forcing them to manage
the complicated issues of model distribution and support."

How Intellectual Property Is Protected and Distributed

Based on technology developed at Viewlogic HLD's Chronologic Simulation
unit, the Verilog Model Compiler generates portable object models of core,
IC and ASIC designs that are protected against deciphering or
reverse-engineering. The resulting models are optimized for high-speed and
low-memory requirements.

VMC compilation technology converts design data into object form, rather
than using encryption. This technique offers maximum protection of a
semiconductor vendor's intellectual property. The Synopsys Verilog Foundry
Model program ensures that the compiled models operate consistently across
a wide variety of simulation environments.

Initially, the models generated under the Viewlogic/Synopsys agreement will
support Logic Modeling's SWIFT interface, which is the basis for the
emerging Open Model Interface standard from the Open Model Forum. Both
companies plan to support OMI when it is adopted by the industry.

IBM and Motorola Sign On First

The first models to be delivered by Synopsys under this arrangement will be
the PowerPC 401 ASIC core model from IBM and the MC92500 ATM cell
processor from Motorola. Both are scheduled to be delivered in Q3 '96.

"The ability to protect our intellectual property, while distributing it to
designers who want to incorporate it into their ASICs, is critical to our
success but it is not our primary business," said Tom Lowery, manager of
PowerPC Embedded VLSI Solutions at IBM. "We're using Viewlogic's VMC
technology to convert the PowerPC 401 core design database source models
into compiled simulation models that Synopsys' Logic Modeling group
enhances and supports."

"We wanted to make sure that our intellectual property was fully protected
and that our customers had early access to accurate, fully-supported
models that can be used in any of the numerous simulators supported by
Synopsys' Logic Modeling Group," said Doug Schuker, design manager of the
ATM Switching Group at Motorola's ASIC Division. "In addition to the
secure, accurate model generated by Viewlogic's VMC, we know that our
customers will have the support they need from Synopsys to make sure they
can successfully integrate the models into their designs."

Synopsys, Inc. (NASDAQ: SNPS) develops, markets and supports high-level
design models and software for designers of integrated circuits (ICs) and
electronic systems. The company pioneered the commercial development of
synthesis technology, which serves as the foundation of the company's
high-level design methodology. Synopsys currently offers a comprehensive
set of synthesis, simulation, test and design reuse solutions, which
support both Verilog HDL and VHDL. For more information on Logic Modeling
