INVESTMENT IN VISIGENIC SOFTWARE; LEADING COMPANIES ENDORSE GROWING

SAN MATEO, CALIFORNIA, MAY 28, 1996. . . Visigenic Software today announced
that Cisco, Netscape Communications and PLATINUM have entered into a stock
purchase agreement with Visigenic. The combined investments will provide
Visigenic with up to $8,000,000 in equity. This infusion will enable
Visigenic to pursue new opportunities associated with developing and
managing distributed applications for the Internet, Intranet and
enterprise networks.

Additionally, a portion of the funding from Cisco, Netscape and PLATINUM
will be used to complete Visigenic's acquisition of PostModern Computing,
which was announced on April 28, 1996. The acquisition is expected to
close by the end of May and was accomplished using a combination of cash
and Visigenic shares.

Visigenic Software develops enterprise-wide database connectivity software,
