DELL LEADS INDUSTRY'S TRANSITION TO WINDOWS NT

FIRST TO OFFER COMPREHENSIVE UPGRADE PATH TO NEXT-GENERATION OPERATING
SYSTEM

NO CHARGE FOR UPGRADE TO WINDOWS NT 4.0, FREE SERVICE AND SUPPORT FOR FULL
YEAR

AUSTIN, TEXAS, MAY 16, 1996 -- Dell Computer Corporation today announced it
is the first manufacturer in the PC industry to offer a comprehensive
upgrade program for customers moving to Microsoft Windows NT Workstation
4.0, the important next generation of the NT operating system.

All customers who buy Dell's forthcoming Dell OptiPlex desktop systems
using Intel's Pentium Pro processor with the current version of Windows NT
Workstation will be offered an upgrade* at no additional charge** when the
operating system becomes available, expected to be later this summer.

To help customers in this important transition, Dell is also offering a
free one-year service and support package for Windows NT Workstation. The
upgrade and service offerings will be available on a soon-to-be-announced
line of Dell OptiPlex business PCs, based on Intel's powerful Pentium Pro
processor and optimized for Windows NT. Dell also announced it will offer
Windows NT Workstation 4.0 factory-installed across its desktop product
lines and selected notebook models when it becomes available.

Dell was one of the first PC manufacturers in the industry to factory
install Windows NT Workstation on its computers and the announcement today
is the next step in the company's goal to lead the transition to Microsoft
Windows NT.

"Because of the efficiencies of the direct business model, Dell has always
been on the forefront of important technology transitions," said Michael
Dell, chairman and CEO. "We view the coming transition to Windows NT as an
important milestone that, combined with Pentium Pro processors, will help
drive the next major corporate upgrade cycle. We've optimized our latest
systems around the Pentium Pro processor and Windows NT Workstation and
they make a formidable combination. Powerful, reliable, affordable and
quick-to-market."

"Nearly three-fourths of our customers are Fortune 500 and government
customers and they are telling us that this year is the year for Windows
NT," Mr. Dell added, "and we're ready."

"Dell and Microsoft have worked closely together to ensure a high degree of
quality, reliability and compatibility for Dell PCs running Windows NT
Workstation," said Bill Gates, chairman and CEO of Microsoft Corp. "Dell
has a strong track record of getting the latest personal computer
technologies to business customers quickly, including the latest versions
of Microsoft operating systems. We are pleased to be working with them as
we begin the transition of mainstream business customers to Windows NT
Workstation."

Dell believes it is well-positioned to lead this transition with its
ability to offer the latest versions of this important operating system
quickly to its customers, to custom-build systems with Windows NT
Workstation and applications factory installed, and to offer customers
flexible service and support programs designed to meet a wide variety of
needs. Dell's ability to ship systems with Windows NT Workstation ready to
run right out of the box can save customers time and money in support and
setup costs.

"What our customers are now asking is not whether to move to NT but how do
they move? How long will it take them to complete the move and how much
will it cost?" said

Mr. Dell. "We're taking the lead in helping them make the step up to
Pentium Pro and Windows NT with powerful, dependable network ready PCs, an
affordable and dependable service and support program, and the ability to
upgrade to the next version of Windows NT."
