Bay Networks Teams With UUNET Technologies To Offer Turnkey Internet
Packages Through Bay Networks Channel

-- New Instant Internet Provider Packs Deliver One-Stop
Hardware/Software/Service Solution for Simplified Internet Access --

SANTA CLARA, Calif., and FAIRFAX, Va., May 13, 1996 -- Bay Networks, Inc.
(NYSE: BAY) and UUNET Technologies (NASDAQ: UUNT) today jointly announced
a product that will bring Internet service to corporate LANs through Bay
Networks' reseller channel. Instant Internet Provider Packs will bundle
award-winning LAN-to-Internet technology from Performance Technology,
Inc., a Bay Networks company, with services from UUNET Technologies, a
leading provider of Internet services for business. The new packages will
be available through Bay Networks' channel partners, including two-tier
distributors Gates Arrow, Ingram Micro, Tech Data, and Westcon. The
Instant Internet Provider Pack will be ISDN-enabled, targeting the
bandwidth requirements of medium-sized to large-sized organizations, and
branch offices of enterprises.

Other Provider Pack offerings that include Bay Networks' Access Node (AN)
series routers and leased-line service options from UUNET are planned.

The introduction of these packages makes LAN-to-Internet connectivity as
accessible as it is easy to install and use. Instant Internet Provider
Packs eliminate the need for a VAR, reseller or integrator to acquire the
separate and various pieces of hardware, software, and service
provisioning normally required to connect all clients on a LAN to the
Internet. Provider Packs come pre-configured for plug-and-play
installation and service.

"This package is a triple win for all businesses interested in connecting
to the Internet," said Paul Finke, vice president and general manager of
Bay Networks' Performance Technology business unit. "It brings together
UUNET's world-class Internet service, Bay Networks' strength in two-tier
distribution, and Instant Internet, the premier solution to connect PC
LANs to the Internet."

"The new Instant Internet Provider Pack for ISDN reinforces Bay Networks'
commitment to our channel by offering a true turn-key Internet solution,"
said Skip Wangbickler, vice president of channel operations at Bay
Networks. "This new offering brings additional flexibility for our
partners and can be easily ordered as a single product through
distribution."

"These packages will be particularly valuable to mid-sized organizations
and branch offices that need broad-based Internet access, but don't have
or want the resources necessary to support a technically complex
solution," said Dave Foster, UUNET's vice president of business
development. "They will greatly simplify the process of connecting an
entire office to the Internet."

Pricing and Availability

The Instant Internet Provider Pack for ISDN is slated for introduction
through distribution in June. The package will include an ISDN version of
the Instant Internet hardware and software, ISDN circuit provisioning by
UUNET, and 3 months (50 hours/month) of ISDN Internet service through
UUNET. Also included are: the establishment of the customer's domain name,
up to 20 POP mail accounts, and 5 news reader accounts. The Instant
Internet Provider Pack for ISDN will be offered at an introductory price
of $4,295.

At the conclusion of the initial 3-month bundled service period, UUNET
offers uninterrupted continuation of service at competitive prices.

About Instant Internet

Instant Internet is designed to connect an entire local area network to the
Internet with the simple addition of a single box to the LAN hub. Target
LANs include any version of NetWare, as well as other networks such as NT,
that can run IPX as the primary or secondary protocol. Up to 50
simultaneous user sessions are supported. Software setup for the unit is
normally accomplished in 15 minutes from any workstation; client
installation takes about 2 minutes and can be done without leaving
Windows.

Instant Internet eliminates the need for client TCP/IP stacks or any
additional server platforms. The NetWare or other IPX-based network server
remains completely untouched. Instant Internet offers inherent firewall
security and extensive access management, diagnostic, logging, monitoring,
and client usage metering facilities. Both Novell Bindery and Novell
Directory Services (NDS) are supported for individual user and group
access control.

Instant Internet packages include LAN licenses for Internet e-mail,
browser, ftp, and newsreader applications. Instant Internet also supports
any Winsock-compatible application, including 32-bit programs such as
Java, Microsoft Internet Explorer, or Netscape Navigator 2.0.

local POP access in 255 cities throughout the U.S.

Provider Pack users can also take advantage of UUNET's Web hosting service,
