SPYGLASS ACQUIRES SURFWATCH SOFTWARE -- LEADER IN INTERNET FILTERING AND
PARENTAL CONTROL

SurfWatch Adds Internet Brand Recognition, Technology and New Enterprise
Web Products to Spyglass' Technology Offerings

Naperville, Ill. -- Wednesday, April 24, 1996 -- Spyglass Inc. (NASDAQ:
SPYG) today announced that it has signed a definitive agreement to acquire
SurfWatch Software Inc., a Los Altos, Calif. vendor of Internet filtering
and parental control software. In less than a year, privately-held
SurfWatch created the Internet filtering market and has become the
industry-standard technology for blocking access to unwanted material on
the Internet.

Spyglass will pay approximately $12.6 million (based on the closing price
of the stock on Tuesday, April 23, 1996) in a stock pooling transaction in
which SurfWatch employees and operations will become a product group of
Spyglass and the core of Spyglass' West Coast research and development
organization.

"SurfWatch's technology, personnel and distribution channels are an
excellent complement to Spyglass' approach to the Internet marketplace,"
said Douglas Colbeth, president and CEO of Spyglass. "While filtering has
become synonymous with parental control of questionable material on the
Internet, it is also a technology that has tremendous potential in
enterprise applications."

SurfWatch filtering technology will be an important new component of
Spyglass' Web Technology Kits which companies will use to Web-enable their
products, services and devices. Colbeth said, "The acquisition of
SurfWatch will not only improve our component technology offerings, but
its name recognition, strong telesales and electronic distribution
channels will improve our ability to tap corporate customers. We believe
this brings into a single organization the management, marketing and
technical talent needed to deliver to the market an exciting range of new
options."

SurfWatch Software -- founded by Internet pioneer Bill Duvall, formerly of
SRI, XEROX PARC, Consulair, Claris and 3DO; Ann Duvall and Jay Friedland
-- creates award-winning Internet products for personal computers and
licenses Internet access control technology to the industry. The software
is available today from Internet and on-line service providers including
AT&T, CompuServe, EarthLink and NETCOM. SurfWatch may also be ordered
directly from SurfWatch or through selected software distributors and
retail outlets.

Spyglass is the market leader in embedded Internet technology. It has
agreements with more than 72 customer/partners, including Computer
Associates, Microsoft, Oracle and IBM, which use Spyglass technology in
more than 170 different products. Spyglass licenses its technology for
embedding in applications, services or devices. Spyglass technology, for
example, is the underlying technology in Microsoft's Internet Explorer Web
browser.

SurfWatch has led the industry in working to protect free speech on the
Internet. "Parents, teachers and employers are using SurfWatch every day
to prevent access to inappropriate material on the Internet," Duvall said.
"After my recent testimony in the challenge to the Communications Decency
Act in Philadelphia, I hope that we have convinced the court that Internet
filtering and parental control software like SurfWatch is a much more
effective and less restrictive solution than excessive government
regulation."

Both companies have been actively involved as founding members of the
Platform for Internet Content Selection (PICS) consortium supporting the
development of standards-based Internet rating systems. Together they plan
to accelerate their efforts to deliver content management solutions for
both Internet and Intranet applications.

According to both executives, SurfWatch will continue to rapidly expand its
existing business licensing to on-line and Internet service providers,
corporate and educational customers, and concerned parents.
