Spyglass and Bentley Agreement Establishes a Strong Partnership to Address
the Needs of the Emerging Market for Web-Enabled Engineering and
CAD/CAM/GIS

Newly Announced Spyglass WTK to be Used to Internet-Enable Bentley's
MicroStation Product Line

Naperville, Ill. - April 15, 1996 - Spyglass Inc. (NASDAQ: SPYG) and
Bentley Systems, Inc. of Exton, Penn., announced today that they have
signed an agreement whereby Bentley has licensed the Spyglass Web
Technology Kit (WTK) to build Web-enabled products for the engineering and
CAD/CAM/GIS marketplace. In a related announcement today, Spyglass
announced the WTK, a complete technology offering which breaks out
Spyglass' client technologies into components to Web-enable applications,
such as those Bentley offers. The WTK is the most comprehensive Web
technology offering available to software developers today, covering
multiple platforms and offering a complete, high quality set of premium
Web Technologies that developers can "mix and match" for their solution.

Terms of the agreement were not disclosed, but Bentley said it will use the
WTK to Web-enable its popular MicroStation line of engineering software
products. The companies said the partnership they've established provides
the first seamless integration of Web-technology within engineering
software products that they expect will give them a strong presence in the
emerging market of Web-enabled engineering and CAD/CAM/GIS. The WTK allows
Bentley to directly build in Web access capability so users don't have to
"fire up" a standalone browser to access engineering content on the Web.
In addition, MicroStation will later offer real-time sharing of
information and collaborative engineering over the Internet.

Bentley will use its innovative MicroStation Development Language (MDL) to
integrate the Spyglass technology seamlessly into its range of products.
MDL's modular architecture will allow users to incrementally add this
functionality to existing MicroStation installations. Users enrolled in
the Bentley SELECT business program will automatically receive this
functionality later this year.

Marc Miller, Spyglass' executive vice president of marketing, sees the new
partnership as very important for Spyglass technology and Bentley's
leadership position in the marketplace. "Bentley is a recognized market
and technological leader in engineering software. This agreement will put
the power of the World-Wide Web inside of its MicroStation products and
will offer seamless Web access to its 200,000 users," Miller said. "This
first application of Spyglass technology for engineering and CAD/CAM/GIS
is a part of the general expansion and standardization made possible by
our easy-to-implement Web Technology kit. This is significant proof that
our embedded, component technology approach is catching the attention of
commercial and in-house software developers."

According to Yoav Etiel, Bentley vice president of product marketing,
Bentley chose the Spyglass technology for a number of reasons. Central to
the decision were the ability of the WTK to integrate Web access directly
into the MicroStation products, the growing standardization of the
technology and the kit's support of a wide range of user platforms,
including Windows, the Macintosh and Power Macintosh, and several Unix
computers.

"Clearly, the Internet and Intranets will have a dramatic effect on the way
that large-scale engineering is done," Etiel said. "This new way holds the
potential of vastly improving collaborative engineering and the sharing of
information among large teams. We share a common vision with Spyglass that
the biggest steps will be taken when applications are empowered to
directly converse with the Web. This agreement between Bentley and
Spyglass begins the process of bringing Web-enabled engineering to
users."

Engineering software and CAD/CAM/GIS is a market that is particularly
suited to the Internet. The market is characterized by a high degree of
computerization, an increasing need to share and access information, and a
clear trend towards automation that supports collaborative engineering.
Bentley participates in the geographics information system (GIS),
mechanical engineering, and architectural, engineering, and construction
(AEC) segments of CAD/CAM/GIS. Since initiating independent sales and
