Strategic Networks Acquired by Softbank Expos & Announces "Interop
Roadshow" Conference Tour

Consulting Firm Teams With Interop to Boost Educational, Consulting, and
Testing Offerings

FOSTER CITY, CA AND ROCKLAND, MA--(APRIL 3, 1995)--Strategic Networks
Consulting, Inc., a leading provider of networking consulting, testing,
seminar and advisory services, announced today that it has been acquired
by SOFTBANK Exposition and Conference Company of Foster City, CA. SOFTBANK
Expos, with its Interop group, produces NetWorld+Interop and Interop
DotCom as well as many other major technology events.

Nicholas J. Lippis, III, founder and president of Strategic Networks,
believes the acquisition will accelerate Strategic Networks' already rapid
growth. "Strategic Networks has been tremendously successful and growing
at a breakneck pace. SOFTBANK, through the Interop group, has the
resources that make it possible for Strategic Networks to grow even
faster. There is a lot of synergy between our companies that can be
leveraged to our mutual advantage. I am very excited about this
opportunity for Strategic Networks," Mr. Lippis said.

"Strategic Networks' strength in technical education, consulting and
testing, is a natural complement to the Interop events, which are focused
around advanced education of professional networkers," said William Lohse,
President of SOFTBANK Expos. "We believe Nick is a real star in the
technological universe and are proud to be partnering with him and his
company."

The first Strategic Networks venture produced by Interop will be Remote
Access '96, a series of eight day-long seminars on the delivery of
high-quality, cost effective remote access services. The seminars are
highly participatory, including the presentation of four case studies to
which vendors will offer technology solutions. Attendees not only have the
opportunity to enter into a dialogue with the vendors around the case
studies, but can also present their own case studies for considering.
Remote Access '96 will be presented in the following cities:

  Minneapolis, MN: June 4
  Reston, VA: June 6
  Oak Brook, IL: June 11
  New York, NY: June 13
  Bellevue, WA: June 18
  San Jose, CA: June 20
  Denver, CO: June 25
  Boston, MA: June 27

In conjunction with the SOFTBANK acquisition, Strategic Networks is also
introducing two new performance evaluations. The 1996 ISDN Router and
Bridge Evaluation will be conducted as a joint effort between Strategic
Networks Consulting, Inc. and Core Competence, Inc., headed by Mr. David
M. Piscitello. This Evaluation will deliver crucial information to network
professionals who are looking to ISDN routers and bridges to eliminate
bandwidth bottlenecks and to provide scalable bandwidth for their remote
access networks.

The 1996 ISDN Router and Bridge Evaluation will define and compare the
functionality, performance, and cost of the leading ISDN router and bridge
equipment for remote access. The Evaluation includes a combination of
detailed, objective functionality comparison and evaluation plus
meaningful analysis that puts this data in the proper perspective. This
complete and balanced analysis will be invaluable to network managers as
they select the most appropriate network devices for a wide range of
remote and branch office access applications. End-users and small office
consumers will find the result of the Evaluation equally useful in
selecting access equipment for telecommuting and Internet access
purposes.

The 1996 ATM Switch Evaluation will be conducted by Strategic Networks and
Scott Bradner, Director, Harvard Network Test Device Lab. This Evaluation
will prove to be the most thorough evaluation of products that offer cell
switching services. Its purpose is to provide both users and manufacturers
of this technology with reliable and comprehensive information that
addresses each audience's key concerns.

The testing phase of the 1996 "ATM Switch" Evaluation is designed to
provide a set of meaningful and repeatable performance metrics that are
applicable to a broad set of ATM switch products. Scott Bradner and
Strategic Networks will carefully analyze product performance relative to
these metrics and thoroughly examine product functionality critical to
successful real-world implementation. Strategic Networks will use the test
results and its own extensive knowledge of critical user issues to get to
the heart of the most pressing concerns facing network managers and to
help switch vendors accurately position their products. Strategic
Networks' extensive work with Fortune 1000 network managers puts it in a
unique position to add the qualitative analysis that will be meaningful
and significant to both the vendor and user communities. For testing
information call 1-800-999-7621.

"Testing is where the rubber meets the road in the search for technical
truth," said Mike Edelhart, Vice President of Interop, to whom Strategic
Network will report. "We are excited by the benefits we can bring the
network market through this extraordinary testing program."

Mr. Lippis will continue to serve as president of Strategic Networks at its
Rockland, MA site.
