DELL COMPUTER SELECTS PHOENIX TECHNOLOGIES' INDUSTRY LEADING SYSTEM-LEVEL
SOFTWARE

New Agreement Will Provide System-Level Support for Dell's Server, Desktop
and Notebook Product Lines with PhoenixBIOS 4.0;, PhoenixCard Manager 4.0;
and NoteBIOS 4.0;

SANTA CLARA, CA (April 19, 1996) -- Phoenix Technologies Ltd. (NASDAQ:
PTEC), announced today that Dell Computer Corporation signed an agreement
with Phoenix to provide new technology advancements for future Dell
products. This license agreement provides Dell with source code for
Phoenix's advanced software to support Dell's servers, desktop and
portable computers.

of system-level products and services, designed to provide effective
solutions for their entire range of systems," said Jack Kay, president and

enter this cooperative effort with Dell. Our combined efforts will allow
both companies to focus on the development of future technologies to
further increase personal computer functionality and make PCs easier to
use."

Under this agreement, Dell has licensed source code to the following
technologies to support their product development requirements:

PhoenixBIOS; 4.0 - Industry-leading system BIOS for desktop computers.

ServerBIOS; - System BIOS developed specifically for file server
applications.

PhoenixCard Manager; 4.0 - the industry's most comprehensive PCMCIA
software for PC Cards.

Phoenix NoteBIOS; 4.0 - the industry's leading system BIOS and power
management system for portables.

Phoenix NoteDock; 4.0 - firmware extensions to NoteBIOS 4.0 which provide
support for Hot Docking with Windows 95.

PowerPanel; v1.50 - a toolbar application that provides push-button power
management under Windows 3.1 or Windows 95.

MultiKey; and Phoenix Smart Battery Manager; v1.0 - keyboard controller
firmware and a Windows GUI, which work together to provide detailed
information about the battery to the end user.
