Opportunities

Three Product Lines Within New Division to Focus on Special Purpose PCs, PC
Card System Software, Universal Serial Bus (USB) and Interconnect
Standards and Peripherals

SANTA CLARA, CA (April 15, 1996) -- Phoenix Technologies Ltd. (NASDAQ:
PTEC), a leading supplier of system-level software, today announced a new
business unit that will address major rapidly growing and evolving
PC-related technology markets. The Special Products Division combines
several existing product lines including Phoenix PICO, for special purpose
PCs, and Phoenix PC Card, PCMCIA software. The new division will introduce
a new focus on emerging interconnect standards and other technologies and
standards currently under development.

To head the new division, Craig Slayter has been appointed vice president
and general manager, Special Products Division. Mr. Slayter, 45, was
formerly vice president, Asia Pacific Operations for Phoenix. He has been
with Phoenix since 1987, when the company he founded was acquired.
SoftStyle, Inc., where he served as president, was a leading developer of
peripheral compatibility software for PCs.

"Entering new markets through our special purpose PC and PCMCIA product

formation of the Special Products Division, headed by Craig who has

growing array of other new emerging standards."

The Special Products Division is chartered to provide a dedicated
engineering effort to enable new technologies, and develop and deploy
these new products and support services. It will address a wide range of
new product opportunities, including specialized products and services for
special purpose PCs, PC Cards, and interconnect standards including
Universal Serial Bus (USB), and other emerging technologies. USB is
currently under development by many of the major PC industry leaders. USB
is an interconnect technology that allows peripheral devices to be
connected to a PC simply, without opening the PC case or needing to fumble
with cumbersome software drivers and install programs that intimidate many
consumers.
