SAN JOSE, CA (April 1, 1996) -- Phoenix Technologies Ltd.(NASDAQ: PTEC),
announced today at WinHEC 96 several key solutions for manufacturers
building the next generation of low-power, low-noise PCs with
appliance-like ease of convenience. This coincides with Microsoft Corp.'s
announcement of OnNow - an initiative to make PCs instantly available and
power efficient.

Phoenix was a key contributor to Microsoft and Intel's APM 1.2
specification, a new advanced power management standard that allows
Windows 95 operating system-based PCs to remain on - in a low power mode,
yet activate instantly with a keystroke, mouse click, a modem ring, or
when prompted by internal scheduling software. APM 1.2 builds on several
key features that are already part of Phoenix's most recent system-level
software, and is broadening them into a new industry specification. Arman
Toorians, engineering manager, power management at Phoenix is addressing
APM 1.2 in the OnNow - Power Management Forum at WinHEC 96.

"Users are demanding that these PCs become more convenient - with instant
access 24-hours a day, while consuming little or no power when not in
use," said Carl Stork, director of the Windows Hardware Platform Group at
Microsoft. "It is also becoming increasingly important for new PC designs
to advance and provide a quieter, less obtrusive presence in the home."

"This new specification allows the operating systems and high level
applications to be more involved in the overall power management of the PC
," said Toorians. "This way, the computer can maintain system readiness
while consuming the least amount of power."

Phoenix and Silent Systems, Inc. are announcing a new noise specification
for home computers, in a forum entitled "The Silent PC Initiative". The
forum will address the pressing need for PCs to run as quietly as a VCR or
telephone when in the home environment. SilentPC is a joint development of
Phoenix and Silent Systems Inc. Gregory Wyler, President of Silent Systems
will be discussing the new specification and answering questions on what
the PC manufacturers can do to meet it at the WinHEC 96 Industrial Design
Opportunities Forum. The solutions developed by Silent Systems and offered
by Phoenix to PC manufacturers include reductions in noise from on-board
fans, hard disk drives, and design changes in computer chassis to make
them quieter.

"Most PCs today make a lot of noise - up to 40 decibels on average," said
Wyler. "We make them quiet, around 28 decibels. The PC appears solid
state, literally as quiet as a VCR. Using the solutions we've developed,
manufacturers can improve their multimedia capabilities and make their PCs
work better as a stereo and digital video disk player with little added
cost per unit."

Phoenix is now providing APM 1.2 (Beta release) and SilentPC solutions to
manufacturers worldwide.
