MICRODYNE PURCHASES PERPETUAL MARKETING RIGHTS TO NOVELL HARDWARE PRODUCTS

ALEXANDRIA, VA -- Microdyne Corporation (NASDAQ: MCDY) today said it has
purchased perpetual marketing rights to all of the hardware technology
currently sold by Microdyne under license from Novell, Inc. (NASDAQ:
NOVL), and has obtained a perpetual royalty-free right to sell those
products in Novell trade dress. More than 30 products and product families
are included under the agreement.

Microdyne will pay approximately $6.8 million for the exclusive, perpetual
rights to the products, which include the industry-standard NE2000-series
of adapter cards. Microdyne will continue to sell Novell software products
including its bundled NetWare solutions as well as other products marketed
in Novell trade dress.

Headquartered in Alexandria, Virginia, Microdyne Corporation develops,
manufactures, and markets data communications and network connectivity
products. The company also provides manufacturer support services and
manufactures telemetry products. For its fiscal year ended October 1,
1995, Microdyne had sales of over $170 million.
