HAYES PROCEEDING TO FUND ITS REORGANIZATION PLAN

NORTHERN TELECOM TERMINATES MERGER AGREEMENT

ATLANTA, GA -- 1 April 1996 -- Hayes Microcomputer Products, Inc. announced
today that it is proceeding to implement its confirmed Plan of
Reorganization even though Northern Telecom Inc. ("Nortel") has terminated
the Agreement and Plan of Merger ("Merger Agreement") by and between
Hayes, Nortel, ACMA Limited, and Dennis C. Hayes, dated 24 November 1995.
ACMA has indicated that it is still motivated to proceed with an
investment in Hayes and is evaluating the situation.

"We are deeply disappointed that Nortel elected to terminate the Merger
Agreement on the night before our expected closing," said Dennis C. Hayes,
Chairman & CEO of Hayes. "Despite numerous and repeated attempts to
convince Nortel throughout the weekend to reconsider and consummate the
Merger Agreement, Nortel has declined to reconsider its decision."

After receiving written notice of termination from Nortel, dated 29 March
1996, Hayes, in an effort to secure the balance of the funding necessary
to completely fund its Plan of Reorganization, immediately engaged in
discussions with six separate potential investors, the majority of whom
have previously conducted due diligence and all of whom sought to invest
in Hayes before Hayes elected to negotiate definitive agreements with
Nortel and ACMA in October 1995. Based on initial consultations with these
new prospective investors, Hayes expects to secure either equity and/or
debt facilities sufficient to fully fund its Plan of Reorganization. By
order of Judge Hugh Robinson of the U.S. Bankruptcy Court, the Hayes Plan,
which allows for flexible funding structures comprised of various
combinations of equity and debt, was confirmed on 8 March 1996. Hayes Plan
calls for payment of creditors' claims in full plus interest.

Dennis Hayes said, "The employees of Hayes have overcome too many obstacles
and come too far during our Reorganization not to overcome this latest
challenge. We have turned our company around, fixed our operations, paid
down our secured debt to a zero balance, released four new products in the
last three weeks, and just ended the best quarter in the history of the
company. We will do everything in our power to complete our
recapitalization by the 22nd of April and pay our creditors in full as
required in our confirmation order from the court."
