IDC Report Confirms Bay Networks Worldwide Leadership in LAN Management

Bay Networks Optivity Network Management Software Leads in both Low- and
High-end Market Segments

BILLERICA, Mass., March 29, 1996 -- Bay Networks, Inc. (NYSE: BAY) has been
named as the global leader in the 1995 LAN management software market by
International Data Corporation (IDC), a leading worldwide computer
industry research firm. Bay Networks' Optivity" network management
application captured 51 percent worldwide market share for low-end,
Windows-based LAN management software, more than twice that of 3Com and
Cabletron. The company also earned a leading 38 percent share of shipments
in the high-end, Unix-based LAN management market.

Brian Burba, author of the IDC report, LAN Management Software: 1995
Yearend Market Review, stated, "The combined shipments of Bay Networks
Optivity (for Workgroup and Campus) product line were the market leader
for low-end LAN management software, a dramatic improvement from 1994's 35
percent share... Bay Networks' strength among low- end products is nearly
matched in the high-end as Optivity for Unix leads the market..."

In 1994, Bay Networks also held the dominant position in the low-and
high-end management market segments. According to IDC, Bay Networks'
Optivity network management application earned a leading 35.5 percent
worldwide market share in the low-end hub management segment, and captured
a leading 31.6 percent in the worldwide high-end management market. In
1995, Bay Networks' low-end LAN management software increased 15.5 market
share points, while the company's high-end market share increased 6.4
points.

"When choosing a management system, network professionals require a
solution that complements their existing network infrastructure," said Jim
Goetz, director of network management at Bay Networks. "Providing
full-featured management for any networking environment - from
departmental networks and workgroups to mid-sized campuses and
enterprise-wide systems - Bay Networks' Optivity network management
software seamlessly integrates with the industry's leading management
platforms. Importantly, through our acquisition agreement with Armon

NetView for AIX, SunSoft's SunNet Manager and Novell's ManageWise.

Additionally, Bay Networks has established itself as the market leader in
embedded RMON. In a report issued earlier this year, IDC named Bay

RMON-based management through embedded hardware probes. The company
captured a leading 41 percent worldwide market share.
