Program

Value-Added Resellers Earn Bay Networks' Top Designations; Partners
Demonstrate Technical Expertise, Broad Product Knowledge and Advanced
Skills

LAS VEGAS, Nev., April 2, 1996 -- As part of its commitment to provide
customers with a combination of advanced internetworking solutions and
business and technical expertise, Bay Networks, Inc. (NYSE: BAY) today
awarded its first Enterprise Solutions Partner designations to five
qualifying value-added resellers under the Bay Networks Partner Alliance
Program. Earning Bay Networks' highest reseller designation, Enterprise
Solutions Partners provide customers with comprehensive solutions for a
wide range of network implementations.

Bay Networks Enterprise Solutions Partners are the principal sales and
support channel for Bay Networks' advanced technology solutions. These
partners have been qualified to resell Bay Networks' entire product line,
including all ATM products and high-end routers and hubs. Enterprise
Solutions Partners possess demonstrable, in-depth expertise in
internetworking products and technologies. Each organization delivers
market-leading technical competency, and their engineers have completed
stringent certification testing through the Bay Networks Certification
Program.

The program is open to all Bay Networks resellers worldwide. In the United
States and Canada, designations are awarded on a per-site basis with each
location having a certified engineer on staff; resellers can also earn
corporate-wide partner status once the required percentage of sites have
qualified. Outside of North America, resellers qualify on a per-country or
a per-area basis. Approximately 400 reseller organizations worldwide are
actively pursuing Enterprise Solutions Partner or Authorized Partner
designations. Bay Networks' new Enterprise Solutions Partners include:

Partner Alliance Program

The Bay Networks Partner Alliance Program provides comprehensive marketing,
training, sales and technical support resources to Bay Networks resellers.
Introduced in July 1995, the program features two designations - Bay
Networks Enterprise Solutions Partner and Bay Networks Authorized Partner
- each with a rich set of benefits designed to help resellers continue to
develop their expertise in Bay Networks' product solutions.

"As networking environments continue to expand with new, integrated
networking technologies, applications and business requirements,
organizations are increasingly turning to VARs for value-added
internetworking solutions and services," said Skip Wangbickler, vice
president of channel operations at Bay Networks. "By achieving Bay
Networks' Enterprise Solutions Partner status, Bay Networks partners
clearly distinguish themselves in the marketplace with extensive knowledge
in the full range of internetworking strategies, advanced technologies and
commitment to customer satisfaction.

"While today's announcement highlights our U.S.-based Enterprise Solutions
Partners, Bay Networks is enjoying success with this program on a
worldwide basis. We will announce Enterprise Solutions Partners addressing
the European, Latin American and Asia Pacific markets in the near
future."

Providing extensive network, systems or application integration knowledge,
Enterprise Solutions Partners have extensive experience in selling and
supporting enterprise-level networking solutions that include routers,
hubs, switching products and network management to mid- and large-sized
customers. Authorized Partners have expertise in selling and supporting
connectivity and/or routing solutions for small- to mid-sized
environments.

Through the Partner Alliance Program, Bay Networks makes substantial
investments in the reseller channel, providing subsidized product
training, pre- and post-sales telephone support and marketing co- op
funds. Additionally, Bay Networks' reseller partners have access to a
range of technical and sales support information, including CDs, training
videos, annual sales and service conferences, and qualified sales lead
generation.

Bay Networks Certification Program

The Bay Networks Certification Program offers a real-world approach to
certification by evaluating both the formal training and on-the-job
experience of engineers involved in selling, managing or supporting Bay
Networks products. The program defines two levels of expertise -
specialist and expert. Specialists focus on fundamental skill sets and
product knowledge, while experts possess extensive technical expertise,
broad product knowledge and advanced skills.

To become a Bay Networks Enterprise Solutions Partner or Authorized
Partner, resellers need their engineers to complete the specialist or
expert certification track. To assist in these efforts, a full range of
educational options is available - from independent study to classroom
instruction. The focus is on skills assessment; no coursework is required.
The Certification candidates demonstrate their skills and knowledge on Bay
Networks products through both performance-based electronic tests and
hands-on practical examinations.
