AUTODESK SOFTWARE THE CHOICE FOR 50,000 SCHOOLS WORLDWIDE

OVER A MILLION STUDENTS EDUCATED YEARLY ON AUTODESK PRODUCTS

SAN RAFAEL, CA- April 22, 1996 - Over a million students in 50,000 schools
worldwide, including 19 of the top 20 engineering schools in the United
States, and over 980 Autodesk Training Centers, are educated on Autodesk
software each year. While giving students practical hands-on experience
with the world's leading design software, the business community is also
provided with a steady stream of trained design professionals. As the
defacto standard in the design software world, with over three million
customers and over a billion AutoCAD drawings, Autodesk, Inc. has found
widespread acceptance for its products throughout the world's colleges,
universities, high schools and trade schools.

Among the top 20 engineering schools using Autodesk software are:
Massachusetts Institute of Technology (MIT), University of Michigan,
Purdue University, Penn State University, Texas A & M, Stanford
University, University of California at Berkeley, University of Illinois,
Carnegie Mellon University, Cornell University, California Institute of
Technology, Georgia Institute of Technology, Princeton University,
University of California Los Angeles, University of Wisconsin, University
of Southern California, and Ohio State University.

John Schleicher, a manufacturing development engineer for PED Manufacturing
Limited in Oregon City, Oregon, said his company relies on students that
have been trained on Autodesk products. "Our local college teaches courses
in Autodesk software -- this ensures that PED has a pool of design talent
nearby. "

Several university systems, including California State University and
Pennsylvania State University instruct students on their many campuses on
Autodesk software. In the California system, 30,000 students on 22
campuses use AutoCAD and 3D Studio to develop and create numerous
mechanical, civil and multimedia projects. At Pennsylvania State
University the system wide-agreement includes providing Autodesk software
for its 22 campuses. Miami Dade Community College (Florida) has an
Architecture and Pre-Engineering Associates Degree program and trains over
700 students a year across three campuses on Autodesk products, including
AutoCAD and 3D Studio software. And, the Universidad Nacional Autonoma De
Mexico in Mexico City, trains approximately 35,000 students on Autodesk
products each year across five campuses.

The most widely used Autodesk products in schools are AutoCAD, 3D Studio,
and mechanical products such as AutoCAD Designer and AutoSurf which have
now been integrated into the recently shipped Autodesk Mechanical
Desktop.

REAL WORLD APPLICATIONS

In addition to educating students on Autodesk software products, many
schools are developing and implementing applications that are being used
in industry. Purdue University in West Lafayette, Indiana, is one of the
top technical graphics program in the country, with 3,200 students
enrolled in design courses using Autodesk software products. Their
Engineering Technologies Department of Technical Graphics utilizes AutoCAD
Release 12 and Release 13, as well as 3D Studio in their curriculum. These
Technical Graphics majors are currently involved in research projects with
local companies such as Bethlehem Steel, in Burns Harbor, Indiana and
Caterpillar, in West Lafayette, Indiana. For Bethlehem Steel students are
creating interactive multi-media instructional materials for a steel mill.
For Caterpillar, they are creating an animated fly through of a power
plant in Guatemala.

SUMMER OLYMPICS

At Georgia Tech University, in Atlanta, the Interactive Media Architectural
Group in Education (IMAGINE) laboratory is making extensive use of
Autodesk software for real world applications. IMAGINE currently has two
ongoing 3D-Studio based projects that are attracting increasing attention
as the 1996 Summer Olympics in Atlanta approaches: a 3D model of Atlanta
and the Georgia Tech/Olympic Village model. The model of the campus, the
location for the Olympic village, is being used to produce signage that
presents point-of-view scenes from the village. The Atlanta model has been
used by NBC television to dramatize transitions from one venue to
another.

COMMITMENT TO AUTODESK

Many schools have made a major commitment to Autodesk software. The Texas A
& M Engineering Design Graphics department trains over 2,000 students a
year on AutoCAD Release 13 and 3D Studio. For the past two years Virginia
Polytechnic Institute (VPI) has required all freshman engineering students
to purchase a special software bundle which includes such Autodesk
products as AutoCAD R13, AutoCAD Designer 1.2 and AutoVision 2.0. Autodesk
ships software for use by over 1,500 VPI students each year. The School of
Architecture at the University of Arizona has mandated that incoming
sophomore students purchase PC's (portable computers) as well as AutoCAD
Release 13 and 3D Studio Release 4 software. And ITT Technical Institutes,
with 58 schools in 26 states, has over 1200 licenses of AutoCAD software.

Other schools that have made a significant commitment to Autodesk products
this year include:

* MIT - Has upgraded Athena, their campus wide UNIX computer network to
AutoCAD Release 13. The School of Architecture uses AutoCAD Release 13 and
3D Studio in their design visualization program.

* University of Colorado at Boulder - Students purchased over 150 licenses
of AutoCAD Release 13 and 3D Studio this academic year, primarily for
coursework in engineering and architecture. University of Florida -
College of Architecture is mandating a student computer purchase program
in fall 1996 that will include the purchase of AutoCAD Release 13 and 3D
Studio Release 4 software.

* Iowa State University - The engineering department has upgraded 120
AutoCAD seats to Release 13.

* University of Michigan - The CAEN (computer-aided engineering network)
purchased 100 licenses of AutoCAD Release 13 and 3D Studio in 1995 and for
the first time introduced it into their engineering program. AutoCAD
Release 13 and 3D Studio have also been included in the architecture
curriculum.

* North Carolina State University - 700 students were introduced to AutoCAD
in fall 1995 when the University implemented AutoCAD in the curriculum.

* New Jersey Institute of Technology - Upgraded campus labs to AutoCAD
Release 13 and 3D Studio in fall 1995, including the Image Laboratory in
NJIT School of Architecture, one of the top design visualization programs
in the US. Other programs using AutoCAD Release 13 include civil
engineering and the center for manufacturing.

* British Columbia Institute of Technology - Educates 2,000 students a year
on Autodesk software

* Rhenish Westphalian Technical College (Aachen, Germany) - One of the most
renowned German technical schools for engineers has over 200 AutoCAD
licenses and teaches over 2,000 students a year on AutoCAD

* The Technical University, Dresden (Germany) - The leading educational
institution for engineering, architecture, and computer science in the new
German states (formerly a part of the German Democratic Republic), has
over 100 licenses of AutoCAD and teaches over 1,000 students a year on
AutoCAD.

PROGRAM TO REDUCE UNIVERSITIES SOFTWARE EXPENSE

Autodesk is helping colleges, universities, and school districts develop
leading edge design curriculums through the Autodesk Preferred Education
Partner Program which lets schools acquire Autodesk products at
unprecedented volume rates through a campus wide subscription. Members
receive Autodesk software and a variety of technical support, curriculum,
and training. A comprehensive program can be developed for each school
site, maximizing the funds and hardware available. For information on this
program call 800-964-6432 and ask for an area education representative.

Jim Purcell, Autodesk's director of education, said Autodesk realizes that
schools and students have limited financial resources available to spend
on design and multimedia software. "We feel it's our responsibility to put
the world's best PC-based design and multimedia tools into the hands of
the next generation of designers today so they'll have marketable skills
when they graduate from school and enter the job market."

Except for the historical information contained herein, the matters
discussed in this news release are forward looking statements that involve
