AUTODESK ROLLS OUT INTERNET PRODUCTS, SEPARATES MULTIMEDIA DIVISION TO
FOCUS ON 3D, ADOPTS NEW CORPORATE STANCE TO REFLECT BROADENED BUSINESS

NEW YORK, April 10, 1996 -- At separate analyst and press events today,
Autodesk Inc., unveiled new Internet products and announced other
corporate news reinforcing its position as the leading provider of design
software tools and the leading provider of reusable, intelligent content.

Autodesk said its multimedia market group has become a division of Autodesk
operating under the name Kinetix, heralded the company's new corporate
theme, Design Your World, and announced that the company will change its
NASDAQ stock symbol to ADSK (from ACAD) to reflect its broadened business
beyond its flagship product, AutoCAD software. The two new Internet
products include a 2D browser plug-in called WHIP! Plug-in and a 3D Web
authoring tool from Kinetix.

"Design is a billions-of-dollars business that not only contributes to the
gross domestic product, but also affects the very core of our lives. It
helps create everything we see and use everyday," said Carol Bartz,
Autodesk Chairman, President and CEO. "And because design involves sharing
among a team of designers, the Internet is a natural for us. We're
uniquely positioned to leverage this new platform and channel for future
business opportunities."

NEW PRODUCTS

Autodesk introduced the WHIP! Plug-in, a World Wide Web (WWW) browser
plug-in that lets users dynamically view 2D vector design data stored in
the WHIP! file format (.dwf). It facilitates communication in the design
process by letting anyone on the web easily view 2D vector data without
having the application in which the data was drawn. The WHIP! Plug-in was
developed with Autodesk's rendering graphics technology. Autodesk is
driving the WHIP! Plug-in as the industry standard for viewing 2D vector
information, such as diagrams and illustrations; and it has gained support
from other software companies in the industry. A prototype of the WHIP!
Plug-In and sample web pages are available now, free from the Autodesk
Home Page (www.autodesk.com).

Kinetix introduced HyperWire, a new authoring tool for the WWW, which lets
users easily create 3D and 2D Web titles based on using simple visual
objects rather than complex programming commands. These titles are based
upon the Java( language. HyperWire incorporates a VRML (Virtual Reality
Modeling Language) and a VRBL (Virtual Reality Behavior Language) player.
Kinetix said its current application, 3D Studio( R4, and its
soon-to-be-released 3D Studio MAX will have VRML/VRBL plug-ins available
immediately. HyperWire, the VRML/VRBL player, and the plus-ins will be
available in beta form immediately from the Kinetix Web site
(www.ktx.com).

INTERNET CONTENT AND FUTURE INTERNET OPPORTUNITIES

Autodesk has met with some success during the past year selling content via
its Autodesk Data Publishing (ADP) unit, with subscriptions of its
Autodesk Mechanical Library. The company doubled the amount of information
on the CD, tripled the number of manufacturers, and circulated 30,000
titles in the commercial world and 10,000 in education.

One of the first applications for the new WHIP! Plug-in will be with ADP's
products, so customers can browse and transport content faster before
downloading it into their work.

Last month ADP aligned with two leading suppliers of information to pave
the way for electronic commerce between buyers and sellers of manufactured
parts. Autodesk will enhance the value of the content and services
currently offered by Industry.Net and Thomas Publishing. Autodesk also
said it will continue to consider the Internet as a vehicle to provide
more content and services for the design community and will soon be making
its subscription service available on the Internet.

CORPORATE NEWS

Already the world's fourth-largest PC software company in the world,
Autodesk has long been the marketshare leader in design with 32 percent of
the PC market, according to market researcher Dataquest.* But since
decentralizing into market groups last year, Autodesk has broadened its
business to include a wider range of designers, such as those who use
geographic information and supervisors who must manage design files.
Autodesk now markets more than two dozen products to more than a dozen
different types of design professionals. To reflect its broadened
business, the company announced it will change its stock symbol on the
NASDAQ stock exchange to ADSK from ACAD, effective May 1, 1996.

The company also kicked-off a new corporate-wide theme, "Design Your
World," today, signifying that its software tools help people throughout
the world create designs we all see and use every day. These designs range
from off-road bicycles from manufacturer Bushido Racing in Santa Monica,
CA, to the design of gas and oil stations from Shell Brazil, to mapping
from the U.S Air Force, to generating background imagery for 3D games from
Sega. Seventy percent of America's Fortune 500 leading industrial and
service firms are Autodesk customers.

Except for the historical information contained herein, the matters
discussed in this news release are forward looking statements that involve
risks and uncertainties that could cause actual results to differ
materially from those projected. These include the timely development and
acceptance of new products, the impact of competitive products and pricing
and the other risks detailed from time to time in the Company's SEC
reports, including the report on Form 10-Q filed in December 1995.

Autodesk is the world's leading supplier of PC and UNIX-based design
software and PC multimedia tools. The company's 2D and 3D products and
data management tools are used in many industries for architectural
design, mechanical design, film-making, videography and geographic
information systems. The fourth largest PC software company in the world,
Autodesk has three million customers in 127 countries. Autodesk products
are sold through Autodesk Systems Centers, Dealers and Distributors
worldwide. For more information on Autodesk, please call 415-507-5000,
