Voxware Acquires Cyberscience; Advanced Internet Telephony Planned

SKILLMAN, NJ (Feb. 22, 1996) -- Voxware, Inc., a developer of advanced
voice-processing software for multimedia computing, Internet, and
communications applications, announced today that it has acquired the
assets of K & F Software, (d/b/a CyberScience), including rights to the
company's CyberPhone product. Terms of the acquisition were not
disclosed.

Voxware also announced that the two chief developers of CyberPhone, Gregory
Fogelsong and Matthew Krokosz, will join the company's development group.

Based in Metuchen, N.J., CyberScience is a developer of Internet telephony
applications, which Voxware plans to enhance with its revolutionary RT24
compressor/decompressor (codec). Internet telephony allows users to "call"
anywhere in the world for the price of a local Internet connection.

The acquisition follows last week's announcement that Netscape
Communications Corporation has licensed elements of Voxware's ToolVox
technology, including the RT24 codec, to plug into the Netscape LiveMedia
framework. The agreement establishes ToolVox as the Netscape-endorsed
technology for low-bandwidth speech transmission with Netscape Navigator.
The agreement also includes plans for Voxware to develop a variety of
future Internet telephony applications, based on Netscape LiveMedia
specifications, that interoperate with Netscape Navigator and other
LiveMedia- compatible products.

Voxware's RT24 codec has an extremely efficient coding algorithm that
enables it to code high- quality speech to very low bit rates, while
maintaining low computational complexity. This will enable Internet
"telephone" users to speak to each other through their PCs with
unprecedented clarity and fidelity.

"We view this as a key strategic acquisition for us, especially in light of
our recent agreement with Netscape," said Voxware President and CEO
Michael Goldstein. "By combining our low-bit-rate voice technology with
CyberScience's experience in building Internet telephone products, we will
be able to use the Internet as a viable platform for a wide variety of
`real world' telephony applications."
