SYSTEMSOFT TO ADD FLASH FILING SOFTWARE IN CARDWORKS PRODUCT

M-SYSTEMS AND SYSTEMSOFT SIGN FTL MARKETING AGREEMENT

SANTA CLARA, Calif, January 30, 1996 - SystemSoft Corporation (NASDAQ:
SYSF) announced today that it will add TrueFFS software from M-Systems
Flash Disk Pioneers to support flash memory cards into the next major
release of CardWorks, its industry leading Windows 95 PCMCIA software
product. At the same time, M-Systems and SystemSoft announced a
cooperative marketing agreement with M-Systems Flash Disk Pioneers
intended to promote wide adoption by the PC industry of Flash Translation
Layer (FTL) as the file system of choice for flash memory PCMCIA cards.
SystemSoft will incorporate M-Systems TrueFFS software into future
SystemSoft products and will license TrueFFS to its PC and embedded market
customers.

The FTL software format was jointly proposed to the PCMCIA Committee by
M-Systems and SCM Microsystems in 1993. It specifies a way for data to be
stored on flash media, thus enabling lower cost and higher performance
flash memory cards.

"This is a significant enhancement to our CardWorks Windows 95 PCMCIA
software product. The addition of M-Systems' FTL product, TrueFFS, now
enables an entire category of flash memory PC cards to work under Windows
95," said Jonathan Joseph, senior vice president of the PC Software
Division, SystemSoft Corporation. "We welcome the opportunity to promote
and support FTL by including TrueFFS, the most robust FTL solution
available, with our Windows 95 PCMCIA software offering."

TrueFFS incorporates FTL, the flash file system jointly promoted by
M-Systems, SystemSoft, and Intel Corporation. FTL enables compatible data
transfer from devices such as digital cameras, voice recorders, cellular
phones, and personal digital assistants (PDAs) to the PC. TrueFFS is a
total flash memory management system that enables flash memory to emulate
a traditional disk drive.

"We believe that flash memory cards will be a convenient technology for
transferring data between desktop and portable personal computers in
addition to new wireless consumer devices such as digital cameras, smart
phones' and audio recorders. This data transfer requirement will serve as
an impetus to having PCMCIA on desktop, as well as mobile personal
computers," said Bill Howe, vice president and general manager of the
Memory Components Division, Intel Corp. "SystemSoft's decision to ship
TrueFFS with CardWorks will aid in distributing FTL, a key component of
making this possible."

"We are pleased to work closely with SystemSoft and Intel to establish FTL
as the defacto industry standard for file systems to support
exchangeability of flash memory media," said Dana Gross, President of
M-Systems, Inc. "This endorsement from the industry's leading PCMCIA
software provider and from a leading manufacturer of personal computer
products will help M-Systems expand the acceptance of its flash
technologies."
