Dialogic And VocalTec Forge Strategic Alliance To Develop Products For
Internet Telephony Servers

Strategic Relationship Will Enable Systems Based on SCSA and Open
Standards

BOSTON, MA (2/14/96) -- Dialogic Corporation (NASDAQ:DLGC) today executed a
framework for a joint development agreement under which Dialogic will
collaborate with VocalTec, Inc., (NASDAQ:VOCLF) to build, market and
distribute hardware and software components for Internet and intranet
telephony servers. These products will enable transmission of real-time
voice over data networks, such as the Internet.

Thousands of consumers with multimedia PCs already talk for free over the
Internet using innovative software such as VocalTec's Internet Phone.
Internet telephony servers and similar products promise to extend this
capability into a whole new arena. For instance, with Internet telephony
servers, systems integrators will be able to create a variety of
innovative applications that use the Internet as a low-cost switching and
transmission network for computer-to- telephone and telephone-to-telephone
calls.

One class of possible applications is the "hop-off" server, where a
subscriber with a sound-enabled PC places a call over the Internet to a
server equipped with analog or digital telephone trunks, which then
extends the call to the local telephone network. A second class of
applications uses back-to-back servers, so that calls can be initiated
from a telephone, carried over the Internet, and terminated at another
telephone.

Howard Bubb, President and CEO of Dialogic Corporation, announced today at
Networks Expo in Boston, "We are excited about partnering with VocalTec,
the technical pioneer and market leader in Internet telephony. Internet
telephony is a natural extension of Dialogic's core business of providing
hardware and software for open computer telephony servers based on
industry standards and we consider this a great opportunity to forge ahead
in this area."

Dialogic supplies the industry-leading portfolio of globally approved
telephone interfaces and programmable signal processing products,
compatible with Signal Computing System Architecture (SCSA).

Dialogic's open platform components enable worldwide analog, T1/E1 and ISDN
connectivity, and offer the leading features for call processing
applications, and provide scaleable DSP horsepower to support evolving
voice compression standards.

International Data Corporation, a high technology market research firm
based in Framingham, Mass., called VocalTec the Internet voice market
leader in a recent report on Internet voice products.

"The growing acceptance of the Internet as an open global information
infrastructure has generated considerable interest from our customers,"
commented Bob Heymann, Dialogic's VP of Business Development. "Upon
completion of product development, systems integrators will be able to
take advantage of telephony and Internet components from the respective
market leaders and focus their attention on building solutions for
applications like international call "hop-off" and Internet information
retrieval. Dialogic and VocalTec will work together to provide leading
edge technology and adopt emerging standards."

VocalTec Ltd is a leading provider of software that enables voice and audio
communications over the Internet. Internet Phone, the company's core
product, first released in February 1995, enables two users connected to
the Internet to conduct real-time, two-way, full-duplex voice
conversations using their personal computers. With Internet Phone, users
can conduct unlimited long distance and international conversations for
the cost of an Internet connection.

Based in Herzliya, Israel, VocalTec's North American headquarters is

systems built with Dialogic products manage more than one third of all
telephone, facsimile, and multi-media calls answered by computers over
wireless and wired networks worldwide. Dialogic products are used in a
multitude of CT applications, including voice, fax, data, voice
recognition, speech synthesis and call center management. More than two
million ports have been deployed by Dialogic's thousands of development
and integration partners worldwide, with approximately 25% installed in
public network service provider sites and the balance on business
premises. The company broadened its lead in computer telephony by
integrating key technology from the industry leaders in multi line network
grade fax, CT connectivity servers, and development environments for
digital signal processors (DSP). Dialogic is a major player in promoting
industry standards through the formation of the Signal Computing System
Architecture (SCSA) initiative, and is a founding member of the Enterprise
Computer Telephony Forum (ECTF). The company is headquartered in
Parsippany, New Jersey, and has sales offices worldwide.
