America Online, Inc. Names New President and Chief Operating Officer

Federal Express Executive, William J. Razzouk, Joins AOL Team

VIENNA, VA, January 31, 1996 -- America Online, Inc. announced today that
it has named William J. Razzouk to the newly created position of President
and Chief Operating Officer. In addition, he will join AOL's Board as a
Director. Razzouk, 48, formerly served as Executive Vice President at
Federal Express Corporation.

"In the past two years America Online has grown from 500,000 members to
nearly 5 million, from 500 employees to more than 4,000, and from one
brand in one country to multiple brands in multiple countries," said Steve
Case, Chairman and CEO of America Online, Inc. "The time is right to bring

opportunities that lay before us. Bill's proven track record, combined
with his breadth and depth of operational experience and passion for
customer service and quality, will be invaluable to America Online as we

reach tens of millions of members."

Reporting to the COO will be the Company's operations including marketing,
content development and programming, technology, network operations,
international operations, customer support, human resources, budgeting and
planning. The Chairman and CEO will maintain responsibility for corporate
functions including finance, communications, business development and
legal.

the business, I will now have more time to focus on strategic areas
including major alliances, communicating the company's vision and setting
direction for AOL and the industry as this medium moves into the
mainstream. I will also spend even more time focusing on the consumer

In his role at Federal Express, Razzouk was responsible for planning and
executing all sales, marketing, ground operations and customer service

items in 210 countries each working day. Reporting directly to the
Chairman, Razzouk had responsibility for nearly 100,000 employees and led
Federal Express' widely recognized focus on customer satisfaction and
quality. Prior to joining Federal Express in 1983, Razzouk served in
executive positions at Rolm Corporation, Philips Information Systems, Inc.
and Xerox Corporation.
