TRANSPARENT TECHNOLOGY SECURES DISTRIBUTION RIGHTS TO TGV INC'S NETWORKING
SOFTWARE SOLUTIONS

Networking Distributor Adds Premier Provider of Single Vendor, Cross
Platform TCP/IP

January 2, 1996 -- CULVER CITY, Calif. -- Transparent Technology, Inc.
(TTI), the leading distributor for transparent networking, UNIX and
Internet products, has been signed as the first software-specific
distributor to offer the full line of cross-platform TCP/IP connectivity
products from TGV, Inc., Santa Cruz, Calif. The new agreement will include
distribution of TGV's newly announced Cheetah Web Server for OpenVMS which
ships next month.

A mainstay in the DEC interconnectivity market, TGV offers networking
software under the primary product line name of MultiNet which now
includes cross-platform solutions supporting Windows personal computers,
VAX and Alpha AXP systems, Novell NetWare and UNIX-based systems.
Additional product platforms are scheduled for support in the coming
months, according to TGV.

Primary TGV products being distributed by TTI include: MultiNet for
OpenVMS; MultiNet for Windows; MultiWare Server for OpenVMS; Phase/IP and
Secure/IP.

"TGV's software products are a perfect fit with TTI's stated mission to
lead the industry in the distribution of internetworking products for as
many platforms as there are viable markets," said Garry S. Hipsher,
president of Transparent Technology.

"Our newest distribution partner's MultiNet and MultiWare connectivity
software products for the DEC community add a new element to Transparent
Technology's already exhaustive line of transparent networking solutions
-- while other TGV products broaden our offerings to Windows and UNIX
users," Hipsher explained.

Central to TGV's product line, MultiNet for Open VMS provides TCP/IP and
NFS services for Digital Equipment VAX and Alpha AXP systems and is
optimized for client-server networks. Key features include an enhanced
Mosaic browser, IBM TN5250 terminal emulation support and advanced
security features as well as a graphical, menu-based management utility
that exceeds the capabilities of the industry-standard DCL-style command
line interface also found in MultiNet.

TGV's MultiNet for Windows program merges reliable 32-bit VxD technology
with a high performance suite of applications at one of the networking
industry's best price points. The company's MultiWare Server for Open VMS
extends the NetWare environment into the OpenVMS platform and includes
terminal, file and print services.

Also a part of TGV's ongoing product line, Phase/IP runs DECNet
applications directly over TCP/IP without modification, while the TGV
Secure/IP product provides secure, token-based authentication --
protecting TCP/IP networks against unauthorized access.

In addition, TGV provides consulting and education services that include
network troubleshooting, planning and design as well as comprehensive
MultiNet training classes.

New Web Server Software

Announced last year, the Cheetah Web Server -- in addition to supporting
Open VMS, UNIX, Solaris and Windows NT platforms -- combines an advanced,
multi-threaded design with easy-to-use HTML management and programming
features. TGV's new Web server software is geared towards the advanced
computing requirements of corporate intranets, as well as the World Wide
Web.

TGV's Cheetah joins at the high performance end of Transparent Technology's
rapidly growing constellation of Internet-oriented software products
announced in recent months -- including complete plug-and-play Web server
systems, online-communications products, UNIX server and security
solutions, content authoring tools and training and education products.

TGV's complete line of software products is now available to resellers
through Transparent Technology.
