Sybase Annnounces Simplified Licensing Structure

New Program Makes it Easier to Buy and Manage Software Licenses

EMERYVILLE, CA, JANUARY 22, 1996 -- Sybase, Inc., The Enterprise
Client/Server Company, today announced a new simplified licensing
structure that is designed to make it easier for customers to buy and
manage Sybase software licenses as they expand their deployment of
client/server applications. The program provides consistent and flexible
licensing options across the full Sybase line of products and is scheduled
to begin February 5, 1995. The new program allows customers to choose the
licensing option that best matches the way they manage their software
assets and it also includes options designed to make it easier for channel
partners to administer Sybase licenses.

Meets Client/Server Needs with Networked Licensing Model

As part of the structure, Sybase announced a new networked option and an
updated concurrent licensing option for client/server products. The new
networked licensing model reflects the software industry's movement toward
a standardized approach to licensing software for use in the growing
client/server environment. The networked licensing model allows customers
to give users networked access to applications on multiple servers, rather
than restricting them to a single server. Also under the networked
licensing model, Sybase is providing customers with the option to purchase
licenses on either a per seat or a "named user" basis. The named user is
licensed to run the software on multiple devices such as an office
desktop, a laptop, and a home computer.

The updated concurrent user licensing model announced today improves
server-based options by eliminating tiered pricing. Under the new model,
Sybase products are priced by number of users accessing a server rather
than by the size of the hardware system on which they run. Customers also
will be able to license desktop products to a specific desktop device or
to a named user.

"This reengineering of our licensing structure illustrates a unified
licensing strategy for Sybase and Powersoft products and reflects our
commitment to make Sybase easy to do business with," said Tom Herring,
vice president of corporate marketing for Sybase.

"Rather than increasing or decreasing prices, the new licensing structure
continues our commitment to offer the most competitive price/performance
in the industry. Our customers want high-performance, high-quality
software, but they also want a licensing structure that is easy to
understand and manage."

As part of its new pricing structure, Sybase will eliminate added-
processor fees for customers licensing Sybase SQL Server, Open Server, and
Net-Gateway on symmetrical multiprocessing systems. In addition, customers
will be able to obtain system management product components under a single
license and a single price per server, regardless of the number of users.
Sybase will continue to support customers' existing software licenses and
is not requiring customers to migrate these to the new models. However,
customers who want to take advantage of the new pricing models have the
option of converting their existing licenses to the new models.

New Programs for Channel Partners

The new pricing options are part of a series of programs that are designed
to make it easier for partners to resell Sybase products. Grant
Challenger, director of marketing at ICON Solutions, Inc., a Sybase
partner based in Conshohocken, Pa., commented, "Our focus has always been
on making technology work. Since the new pricing program is hardware
independent, we can spend more time on the client's technical requirements
versus complex pricing schemes and contracts."
