Bay Networks Broadens Management Tools For Enterprise-Wide Remote Access

-- Includes Enhanced Xylogics Network Management Software and Integration
with Bay Networks' Optivity" Management Platform --

BILLERICA, Mass., January 8, 1995 -- Bay Networks, Inc. (NASDAQ: BNET)
today announced network management software enhancements designed to
reduce the amount of time and complexity when configuring and managing
remote access products. Through these new enhancements, Bay Networks now
offers the broadest and most flexible management features for remote
access.

The company has integrated Xylogics Annex Manager management software into
the Bay Networks Optivity management system, consolidating control of both
Bay Networks' hubs, switches and routers and Xylogics' Remote Annex
products into a single point of management. Bay Networks also announced
version 2.0 of Xylogics Annex Manager, offering simple menu-driven screens
for ease in setup and configuration of remote access servers.

According to Infonetics Research, Inc., nearly 60 percent of network costs
for remote access sites, mobile computing and telecommuting are recurring
operations expenses. Of these recurring costs, 44 percent are associated
with central management time and training. Bay Networks' new control
options address these hidden remote access networking costs by providing
simpler, more powerful interfaces for configuring, maintaining and
managing internetworking systems.

"Universal remote access has become a strategic competitive advantage for
companies deploying it as an integral part of doing business," said Grace
Carr, vice president of worldwide sales and marketing for Bay Networks'
Xylogics business unit. "Consequently, it's critical that remote access be
managed as part of a broader internetworking solution. The enhanced Annex
Manager software and integration with Optivity Enterprise network
management underscore Bay Networks' commitment to delivering powerful
enterprise remote access capabilities that can be managed centrally to
simplify network management and reduce costs."

Bay Networks' director of network management Jim Goetz, added: "This new
integrated management capability is a natural extension of our acquisition
of Xylogics. It provides network managers with the ability to easily
troubleshoot, configure, monitor, analyze and baseline both their backbone
network and remote access solutions from a common application. This
approach exemplifies Bay Networks' leadership position in network
management and gives customers a powerful tool for managing a growing
network."

Central Control for Enterprise Internetworking

Through Bay Networks' Optivity Enterprise software for internetworking
products, network managers can now launch Annex Manager to view and
configure Xylogics' standalone remote access products in addition to Bay
Networks' 5390 remote access hub modules for the System 5000
internetworking platform. As Bay Networks' customers incorporate Xylogics'
Remote Annex servers, they will have a single point of control for all
internetworking products.

Optivity Enterprise software is a sophisticated, standards-based solution
for managing enterprise-wide networks from a single console. It is
designed to assist network managers with navigating, monitoring and
troubleshooting on an enterprise scale. From that same application,
network managers also will be able to view, configure and manage Remote
Annex servers, using the same Setup and Customize modes available through
Annex Manager. The Optivity family comprises a number of applications,
logically grouped to provide full-featured management for any network
environment, including workgroups, campus and enterprises.

Remote Annex Management

Annex Manager 2.0 can reduce the cost of network ownership by providing
simpler, more powerful network interfaces for setting up remote access
servers and configuring network parameters, such as security, port
configurations and protocols. It gives network managers two modes of
operation:

* Simple menu-driven screens for novice users. Users with little experience
in setting up and configuring remote access products now have a
time-saving way of installing and maintaining systems.

* With the new Setup mode, an easy-to-use series of sequential menus
prompts the operator transparently through the SNMP (Simple Network
Management Protocol) configuration setup. A consistent, point-and-click
interface makes access simple for users, regardless of their expertise,
and eliminates having to configure the system parameter by parameter.

* Command lines for more technical operators. The Annex Manager's Customize
mode enables an operator to set up individual network parameters and gain
access to all menu prompts.

Standards-Based Platforms

Optivity Enterprise is based on the leading Unix-based SNMP platforms - HP
OpenView, IBM NetView for AIX and SunNet Manager. The Annex Manager
operates independently or in conjunction with the same Unix- based SNMP
platforms.

Pricing and Availability

Integration of Annex Manager into Optivity Enterprise will be available in
the first quarter of 1996. Annex Manager will be bundled with Optivity
Enterprise at no additional cost. Annex Manager remains available in a
standalone fashion.

Annex Manager 2.0 is available immediately for $495 on such platforms as
Sun OS, Solaris, HP, IBM RS/6000 AIX and SCO. Customers on the software
service program will automatically receive a no-cost upgrade package.

A demo featuring the Annex Manager /Optivity integration will be available
at the Xylogics booth at ComNet, Booth number 656.
