SYBASE POSITIONS FOR LEADERSHIP IN DISTRIBUTED DATABASE SYSTEMS MANAGEMENT

Company Joins X/Open Systems Management Working Group, Enhancing Two Year
Commitment to Products Based on Tivoli Systems Management Framework

EMERYVILLE, CA, March 28, 1994 -- Sybase, Inc., The Enterprise
Client/Server Company, today announced that it has joined the Systems
Management Working Group of X/Open, an international open systems
organization that provides a foundation for common, interoperable, systems
management solutions across heterogenous UNIX platforms. By joining this
X/Open working group, Sybase increases its active role in developing
international standards for database systems management products. Sybase's
X/Open membership enhances a four-year commitment to database systems
management, which includes commercially available products and product
development based on emerging Tivoli standards.

X/Open members--including IBM, Sun, Hewlett-Packard, Digital Equipment
Corp., Siemens-Nixdorf, AT&T, and Amdahl--recently accepted the Tivoli
Management Framework (TMF) as a draft specification for use in developing
a common interface specification between management applications and
underlying services. TMF is an object-oriented systems management platform
for distributed systems management. Sybase and Tivoli have been working
together under a technology agreement since 1992.

"Managing complex, distributed environments is an increasing challenge for
the enterprise," said Stu Schuster, executive vice president of marketing
at Sybase. "By joining the Systems Management Working Group of X/Open,
Sybase is both highlighting its database systems management leadership
role and providing users with an integrated, consistent systems management
framework to help enterprises migrate to client/server. Sybase and X/Open
have a synergistic approach in this area, most notably marked by our
mutual support of the Tivoli framework."

Systems management products represent a rapidly growing segment of the
client/server market. Customers require several solutions from multiple
vendors to manage distributed computing environments at the workgroup,
department, and enterprise levels. Standards, which protect users'
investment by ensuring that different vendors' products can interoperate,
are few and limited in scope. Through its participation in the X/Open
systems management working group, Sybase aims to reduce systems management
costs by offering a single, simplified, and consistent management
environment for systems and database administration tasks.

"Sybase's expertise in database systems management and familiarity with the
Tivoli application programming interface (API), will greatly facilitate
our progress in developing a common interface specification," said Martin
Kirk, X/Open development manager for distributed systems management.
"We're pleased that Sybase has joined the systems management working
group."

Sybase's Systems Management Strategy

Sybase shipped SA Companion, its first systems management product for
operational control in distributed environments, in 1990. The SYBASE
System 10 systems management products are currently shipping. These
include Backup Server, for high-speed, on-line backup loading and
recovery; SQL Monitor, for performance monitoring and tuning; and the
System 10 version of SA Companion

Sybase's commitment to the Tivoli framework for future enterprise product
development is complemented by Sybase's relationships with a number of
leading systems management providers. These companies, who participate in
the company's Open Solutions channel partners program, work with Sybase in
technical, sales, and marketing areas to quickly deliver products to
market and to meet customers' demanding systems management requirements.
Many of these partners w ill demonstrate systems products working with the
Sybase SQL Server at the Sybase User Meeting and Training Conference in
early May.

In addition, Sybase is a founding member of a recently formed IETF
(Internet Engineering Task Force) whose goal is to define a standard
Management Information Base (MIB) using the Simple Network Management
Protocol (SNMP). This RDBMS MIB group, which includes the ASK Group, IBM,
Informix, Oracle, and others, is working to create an open specification
that will enable users to monitor and control databases from any vendor
across the enterprise using any third-party SNMP-based management tool.
Sybase products are intended to comply with the upcoming RDBMS MIB group
standard as well.
