MICROSOFT AND SYBASE EVOLVE PARTNERSHIP TO DELIVER NEXT-GENERATION DATABASE
PRODUCTS FOR WINDOWS NT ADVANCED SERVER

Product Plans Give Customers Choice and Compatibility

SAN FRANCISCO, CA, April 12,1994 -- Microsoft Corp. and Sybase, Inc., today
announced an agreement that defines how the companies will work together
to deliver complete, compatible solutions across the enterprise, based on
Sybase's SQL Server relational database and Microsoft's Windows NT
Advanced Server. Under terms of the agreement, which extends Microsoft and
Sybase's existing partnership:

* Sybase w ill develop and market the SYBASE System 10 family of products,
including SQL Server 10 for the Windows NT Advanced Server, as part of its
focus on providing an architecture for heterogeneous, enterprise
client/server computing.

* Microsoft will develop and market new versions of the currently available
Microsoft SQL Server and related products, further extending the software
to integrate with Microsoft's distributed client/server architecture,
including the component object model of OLE and Cairo.

* Both the SYBASE SQL Server 10 software and the Microsoft SQL Server
software are compatible and will maintain application compatibility based
on a common set of APIs.

* Sybase will continue to resell the current version of the Microsoft SQL
Server for the Windows NT Advanced Server as a strategic complement to
System 10.

The agreement allows customers to choose a solution tailored to their
current needs while ensuring a solid migration path for customers who want
to move applications in the future.

Microsoft and Sybase Together, A Powerful Combination

Windows NT Advanced Server as an important platform for enterprise-level

History of the Microsoft/Sybase Relationship

Microsoft and Sybase have worked together for seven years in a partnership
based on a complementary vision of client/server computing. Under the
original agreement, Sybase licensed its SQL Server software to Microsoft
for OS/2. Microsoft and Sybase jointly developed the SQL Server software
for the Microsoft operating system. Microsoft sold the resulting software,
called Microsoft SQL Server, through its resellers, with Sybase serving as
a reseller for the shrinkwrapped product. More recently, Microsoft and
Sybase extended the agreement to include Windows NT Advanced Server as
well as OS/2.

SYBASE System 10 Products for Windows NT Advanced Server

The suite of SYBASE System 10 products for Windows NT available through
Sybase include: SQL Server 10, Backup Server, Replication Server, OmniSQL
Gateway, Open Server, Open Client, SYBASE Embedded SQL, SA Companion, SQL
Monitor, SQL Debug, and Replication Server Manager.

System 10 products for Windows NT Advanced Server will be available through
Sybase, in addition to System 10 versions for OS/2, Novell's NetWare and
UNIX. Additionally, System 10 software for Windows NT Advanced Server,
will be backed by a broad range of services and consulting designed to
support companies implementing heterogeneous, enterprise-wide
client/server environments.

Microsoft SQL Server Products for Windows NT Advanced Server

Today, Microsoft's line of products for Microsoft SQL Server includes SQL
Bridge, SQL Administrator, SQL Object Manager, SQL Transfer Manager, Open
Data Services, VBSQL, and Microsoft Embedded SQL.

Microsoft distributes the Microsoft SQL Server through its value-added
distribution channels worldwide, including more than 4,500 Microsoft
Solutions Providers. Microsoft SQL Server is backed by a comprehensive
support, services and consulting framework.

SQL Server Compatibility/Migration

SYBASE SQL Server 10 software and Microsoft SQL Server are compatible and
will maintain application compatibility, and both vendors will provide
customers and developers with guidelines for maintaining compatibility.
The compatibility w ill be based on the Transact-SQL language and a common
set of APIs. This level of database compatibility facilitates
interoperability and ensures a solid migration path for customers who u
ant to move between the two database systems.

Product Availability

The first System 10 products for Windows NT Advanced Server are currently
in beta and are scheduled for general availability in Q3 1994. These
include SQL Server 10, which comes bundled with Backup Server; Replication
Server; Open Server; and Open Client. In addition, OmniSQL Gateway is
scheduled for general availability in Q4 1994. Pricing will be announced
at the time of availability.
